Kendrion: Van vergeten smallcap naar mogelijke winnaar Physical AI

Inleiding
Kendrion verdient naar onze mening een volledig nieuwe beoordeling. Niet omdat het bedrijf plotseling een AI-onderneming is geworden, maar omdat twee ontwikkelingen tegelijkertijd plaatsvinden. Kendrion heeft zichzelf ingrijpend vereenvoudigd en financieel versterkt, terwijl de industriële wereld waarin het opereert steeds sneller opschuift richting robotica, automatisering, elektrificatie en uiteindelijk Physical AI.
De eerste grote AI-investeringsgolf draaide vooral om chips, datacenters, foundation models en software. De volgende stap is dat die intelligence steeds vaker wordt gekoppeld aan machines die daadwerkelijk iets in de fysieke wereld moeten doen. Een AI-model kan bepalen hoe een robot moet bewegen, maar kan zelf geen as draaien, geen object vasthouden en geen machine veilig tot stilstand brengen. Daarvoor blijven actuatoren, motor control, remmen, embedded electronics en safety systems noodzakelijk. Precies daar bevindt Kendrion zich.
Tegelijkertijd is het oude Kendrion grotendeels verdwenen. De Automotive-activiteiten in Europa en de Verenigde Staten zijn verkocht en ook de Chinese activiteiten zijn afgestoten.
De resterende Mobility-activiteiten worden verder afgebouwd, waardoor de strategische aandacht steeds nadrukkelijker bij Industrial Brakes en Industrial Actuators & Controls komt te liggen.
In 2025 kwam €204,1 miljoen van de totale omzet uit continuing operations van €245,5 miljoen uit deze twee industriële activiteiten. Industrial Brakes was goed voor €93,7 miljoen en Industrial Actuators & Controls voor €110,4 miljoen. Daarmee vormen de industriële activiteiten inmiddels duidelijk de economische kern van de onderneming.
Investment view
Onze Investment view op Kendrion is voorzichtig positief. Voor beleggers met geduld zien we een mogelijke langetermijnkoop, maar de case moet nadrukkelijk niet worden gebouwd op de gedachte dat Kendrion ineens een robotics- of AI-multiple verdient. Het bedrijf moet eerst bewijzen dat de nieuwe strategische richting daadwerkelijk leidt tot structureel hogere groei, sterke marges, hoge kapitaalefficiëntie en duurzame vrije kasstroom.
De uitgangspositie is daarvoor aanzienlijk beter geworden. In Q1 2026 steeg de groepsomzet 5% naar €65,2 miljoen. Industrial Brakes groeide 9% naar €26,4 miljoen en Industrial Actuators & Controls 4% naar €28,3 miljoen. De genormaliseerde EBITDA steeg 21% naar €11,0 miljoen, waardoor de marge opliep van 14,7% naar 16,9%. De genormaliseerde EBITA nam 33% toe tot €8,0 miljoen en de rolling ROIC verbeterde van 13,4% naar 25,3%.
Voor ons is vooral de combinatie belangrijk. Kendrion laat geen spectaculaire omzetgroei zien, maar de winst groeit veel sneller dan de omzet en het rendement op het geïnvesteerde kapitaal is sterk verbeterd. Tegelijkertijd is de balans opgeschoond en concentreert het management nieuwe investeringen op activiteiten die technologisch onderscheidend, mission-critical en structureel groeirijk moeten zijn.
Als Kendrion de komende jaren kan bewijzen dat robotics, automation, safety, electrification en medical technology daadwerkelijk een groter aandeel van nieuwe orders en omzet gaan leveren, kan uiteindelijk niet alleen de winst stijgen maar ook de waarderingsmultiple die beleggers bereid zijn voor die winst te betalen. Daar ligt volgens ons de werkelijke asymmetrie.
Het nieuwe Kendrion is fundamenteel anders
De herstructurering moet niet alleen worden gezien als het verkopen van onderdelen. Kendrion heeft feitelijk besloten welk soort onderneming het in de toekomst wil zijn. Omzet die onvoldoende rendement oplevert is minder belangrijk geworden, terwijl gespecialiseerde industriële toepassingen met hoge toegevoegde waarde nadrukkelijk voorrang krijgen.
Dat is een fundamenteel andere manier van kapitaalallocatie. Nieuwe groeiprojecten moeten volgens de strategie meer dan 10% jaarlijks omzetgroeipotentieel hebben en op volledige schaal een EBITDA-marge van meer dan 20% kunnen realiseren. Daarnaast zoekt Kendrion naar duidelijke technologische differentiatie via eigen kennis, intellectual property, certificering of een andere moeilijk kopieerbare positie.
Het liefst levert Kendrion een component die essentieel is voor de klant, terwijl die component slechts een beperkt gedeelte van de totale kostprijs van het systeem vertegenwoordigt. Dat laatste is economisch bijzonder aantrekkelijk. Wanneer een onderdeel relatief goedkoop is maar falen ervan zeer kostbaar kan zijn, wordt de aanschafprijs minder belangrijk. Reliability, qualification, certification en bewezen prestaties gaan dan zwaarder wegen. Dat is precies het type niche waarin een relatief kleine industriële onderneming hoge rendementen kan verdienen zonder zelf enorme productievolumes te hoeven bereiken.
Wat doet Kendrion vandaag precies?
De onderneming rust in essentie op twee technologisch verwante pijlers. Industrial Brakes ontwikkelt elektromagnetische remsystemen voor onder meer servo motors, industriële robots, cobots, intralogistics, windenergie, medische apparatuur en andere geautomatiseerde machines. Een dergelijke brake is veel meer dan een eenvoudige rem. Binnen een robot joint of servo drive kan de component nodig zijn om een as exact te positioneren en vast te houden, een beweging in een noodsituatie gecontroleerd te stoppen of bij stroomuitval veilig te blokkeren.
Industrial Actuators & Controls is breder. Daar zitten onder meer elektromagnetische actuatoren, motor control, embedded electronics, industrial control systems, locking technology en inductive heating in. De toepassingen lopen uiteen van industrial automation en medical technology tot electrified equipment en gespecialiseerde machines. Die combinatie plaatst Kendrion op een interessant punt in de waardeketen: precies daar waar een digitale opdracht moet worden vertaald naar fysieke beweging en vervolgens veilig moet worden uitgevoerd.
Waarom AI Kendrion strategisch interessanter kan maken
De eerste fase van AI speelde zich vooral af in de digitale wereld. Modellen konden schrijven, programmeren, analyseren en beslissingen ondersteunen. Physical AI brengt intelligence naar machines die daadwerkelijk iets in de fysieke wereld moeten uitvoeren.
Daarvoor is software alleen niet voldoende. Een model kan berekenen dat een robotarm 42 graden moet draaien, maar het model zelf genereert geen koppel. Daarvoor zijn een motor, actuator, transmission en control system nodig. Een AI-systeem kan herkennen dat een werknemer zich te dicht bij een robot bevindt, maar vervolgens moet een gecertificeerde safety architecture ervoor zorgen dat beweging, snelheid of kracht onmiddellijk veilig wordt beperkt.
Daar ligt de indirecte AI-exposure van Kendrion. Het bedrijf hoeft geen foundation model te bouwen en hoeft ook niet te voorspellen welke robotfabrikant uiteindelijk marktleider wordt. Het kan profiteren wanneer steeds meer machines intelligent, elektrisch en autonoom worden. Dat maakt Kendrion in potentie een Europese picks-and-shovels-speler binnen Physical AI.
Physical AI kan juist de waarde van betrouwbare hardware verhogen
Een veelgemaakte denkfout rond robotica is dat betere software automatisch betekent dat fysieke hardware minder belangrijk wordt. Bij safety-critical motion kan juist het tegenovergestelde gebeuren.
Een traditionele industriële robot voert vooraf gedefinieerde bewegingen uit in een grotendeels gecontroleerde omgeving. Een collaborative of adaptive robot moet dynamisch kunnen reageren op mensen en objecten, kracht beperken en onverwachte omstandigheden zelfstandig afhandelen. Hoe meer beslissingen software zelf neemt, hoe belangrijker het wordt dat de fysieke laag die beslissingen exact, snel en veilig uitvoert.
Daarom kunnen precision brakes, actuators, motor control en safety systems profiteren zonder dat hun aandeel in de totale kostprijs van een robot enorm hoeft te zijn. De economische aantrekkelijkheid zit juist in het feit dat Kendrion technologie zoekt waarbij de cost of failure hoog is en de component zelf relatief weinig kost. Een robotfabrikant zal minder snel van leverancier wisselen om enkele euro’s te besparen wanneer een rem, actuator of safety controller essentieel is voor certificering, uptime en veiligheid van een veel duurder systeem.
Robotics safety kan strategisch steeds belangrijker worden
Een van de interessantste nieuwe ontwikkelingen is de Safety Architecture for Robotics die Kendrion in juni 2026 introduceerde. De oplossing combineert een SIL3/PLe-gecertificeerde Safety PLC met een robotics library voor kinematische veiligheidsfuncties.
De architectuur ondersteunt toepassingen tot negen assen, heeft een minimale cyclustijd van 2 milliseconden en werkt met EtherCAT en FSoE. Bovendien is het systeem vendor-neutraal. Dat is strategisch relevant, omdat een robotbouwer of integrator daardoor niet volledig afhankelijk hoeft te zijn van één proprietary safetyplatform. Naarmate robotics verder richting open architectures beweegt, kan een onafhankelijke safetyoplossing een waardevolle positie tussen robothardware, servo systems en de uiteindelijke applicatie innemen.
De timing is eveneens interessant. De nieuwe ISO 10218:2025-standaard legt meer nadruk op de complete robotapplicatie, dynamische safety zones, force monitoring en samenwerking tussen mens en machine. Physical AI maakt robots intelligenter, maar daardoor wordt safety niet minder belangrijk. Het wordt juist complexer.
Industrial Brakes is veel technologischer dan de naam suggereert
De naam Industrial Brakes klinkt traditioneel, maar de toepassingen zijn dat steeds minder. In april 2026 introduceerde Kendrion de Slim PM Line, een compacte permanente-magneetrem voor servo-motoren in het low- en mid-torquesegment van 2,7 tot 17 Nm.
De productlijn is gericht op robotics, automation en medical technology. Belangrijk is bovendien dat de Slim PM dezelfde mechanische en elektrische interface gebruikt als Kendrions High Torque Line. Daardoor kunnen OEM’s verschillende torque ranges afdekken zonder een volledig nieuw motorontwerp nodig te hebben.
Dat kan switching costs creëren. Wanneer een component eenmaal in een servo-platform is ontworpen, getest en gekwalificeerd, wordt de overstap naar een andere leverancier minder aantrekkelijk omdat engineering en certification opnieuw kunnen moeten worden gedaan. Kendrion hoeft daarvoor bovendien niet te wachten op een grote humanoidmarkt. De veel concretere vroege markt bestaat uit industriële robots, cobots, packaging equipment, conveyors, intralogistics en andere bestaande servo-driven automation. Dat kan commercieel veel eerder relevant worden.
Industrial Actuators & Controls vormt een tweede groeimotor
IAC is met €110,4 miljoen omzet in 2025 groter dan Industrial Brakes en maakt de investment case minder afhankelijk van robotica alleen. De activiteiten omvatten actuatoren, motor control, embedded electronics, industrial locking, control systems en inductive heating.
Een goed voorbeeld is VIPER Motor Control, dat in mei 2026 werd geïntroduceerd. Het is een sensorless controller voor batterij-aangedreven equipment in onder meer forestry, agriculture, construction en mining en werkt binnen een spanningsbereik van 12 tot 48 volt.
De bredere ontwikkeling hierachter is electrification. Mechanische en hydraulische functies worden steeds vaker vervangen of aangevuld door elektrisch aangestuurde systemen die nauwkeuriger kunnen worden bestuurd en eenvoudiger met software kunnen communiceren. Daarmee lopen automation, electrification en uiteindelijk Physical AI steeds meer in elkaar over.
De nieuwe producten laten zien waar het bedrijf naartoe wil
De productintroducties van 2026 vormen samen een duidelijke lijn. In april kwam de Slim PM Line voor robotics en automation, in mei VIPER Motor Control voor geëlektrificeerde machines en in juni de Safety Architecture for Robotics.
Dat zijn geen losstaande introducties. Ze wijzen allemaal richting dezelfde strategische beweging: meer intelligent motion, meer electrification, meer robotics en meer safety-critical technologie. Tegelijkertijd moeten we onderscheid blijven maken tussen technologie en omzet. Een productintroductie is nog geen commerciële doorbraak. Design wins, qualification en serieproductie moeten volgen voordat nieuwe producten materieel bijdragen aan omzet en winst.
De projectpipeline is de brug tussen verhaal en omzet
Industrial Brakes meldde dat de projectpipeline was verdubbeld nadat sales, product management en R&D dichter bij elkaar waren georganiseerd. IAC beheerde tegelijkertijd een recordaantal nieuwe klantprojecten.
Dat is positief, maar een professionele investment case mag pipeline nooit gelijkstellen aan omzet. Bij industriële technologie kan veel tijd zitten tussen het eerste klantcontact en serieproductie. Een product moet worden ontworpen, geïntegreerd, getest, gekwalificeerd en soms gecertificeerd. Daarna moet ook het eindproduct van de klant daadwerkelijk commercieel worden opgeschaald.
Daarom wordt projectconversie de belangrijkste KPI voor de periode tot 2028. We willen zien dat projecten doorstromen van engineering naar design-in, daarna naar qualification en vervolgens naar serieproductie. Wanneer dat gebeurt, wordt de robotics- en automationthesis daadwerkelijk zichtbaar in de resultaten.
De financiële verbetering begon al vóór de Physical AI-thesis
Dit is een belangrijk onderdeel van de case. Kendrion hoeft niet te wachten op een explosie in robotica om financieel beter te worden.
Over heel 2025 bedroeg de omzet uit continuing operations €245,5 miljoen en bleef daarmee vrijwel stabiel. De genormaliseerde EBITDA kwam echter uit op €38,1 miljoen, goed voor een marge van 15,5%. De vrije kasstroom bedroeg €25,6 miljoen en de ROIC kwam uit op 24,6%.
In Q1 2026 versnelde die verbetering. De omzet steeg 5% naar €65,2 miljoen, terwijl de EBITDA 21% hoger uitkwam en de EBITA 33% steeg. De EBITDA-marge kwam uit op 16,9%. Dat betekent dat de winstgevendheid veel sneller groeit dan de omzet. Voor ons is dat belangrijker dan spectaculaire volumegroei, omdat het suggereert dat productmix, pricing en kostenstructuur samen een kwalitatief beter winstprofiel beginnen te creëren.
ROIC is misschien het belangrijkste cijfer van de hele case
De rolling ROIC steeg in Q1 2026 naar 25,3%, tegenover 13,4% een jaar eerder. Over heel 2025 kwam de ROIC al uit op 24,6%.
Dat verandert de discussie. Een industrieel bedrijf met 5% omzetgroei en lage returns on capital verdient een heel andere waardering dan een onderneming die dezelfde groei combineert met een ROIC van boven 20%.
Daarom is de vraag niet of Kendrion één kwartaal een hoge ROIC kan rapporteren. De vraag is of die kapitaalefficiëntie kan worden vastgehouden terwijl tegelijkertijd wordt geïnvesteerd in nieuwe robotics-, automation- en electrificationprojecten. Als dat lukt, kan Kendrion economisch steeds meer gaan lijken op een hoogwaardige niche-industrial in plaats van een gewone cyclische componentenproducent.
De marge heeft nog ruimte
De EBITDA-marge kwam over 2025 uit op 15,5% en in Q1 2026 op 16,9%. Daarmee bevindt Kendrion zich inmiddels duidelijk binnen de eigen strategische bandbreedte van 15–18%.
Nieuwe projecten moeten echter intern op volledige schaal een EBITDA-marge boven 20% kunnen realiseren. Dat betekent dat de toekomstige omzetmix theoretisch steeds aantrekkelijker kan worden. Kendrion hoeft daarvoor geen spectaculaire omzetgroei te realiseren. Wanneer oudere activiteiten geleidelijk worden vervangen door projecten met hogere marges en de groepsomzet tegelijk met enkele procenten per jaar groeit, kan de winst veel sneller stijgen dan de omzet. Daar ontstaat operationele leverage.
De balans is van beperking naar strategisch voordeel gegaan
Ook de balans is fundamenteel veranderd. Eind 2024 bedroeg de nettoschuld nog €103,4 miljoen. Eind 2025 was dat teruggebracht naar €30,3 miljoen.
De vrije kasstroom van €25,6 miljoen laat bovendien zien dat de verbetering niet uitsluitend boekhoudkundig is. Kendrion kon daardoor kapitaal teruggeven aan aandeelhouders. Na de China-verkoop werd een speciaal dividend van €1,00 per aandeel uitgekeerd. Daarnaast werd een regulier dividend van €0,70 per aandeel over 2025 voorgesteld en het aandeleninkoopprogramma van €10 miljoen werd in maart 2026 afgerond.
Dat geeft management veel meer vrijheid. Organische groei, dividend, aandeleninkoop, gerichte acquisities of verdere schuldreductie kunnen nu veel scherper tegen elkaar worden afgewogen. Voor een smallcap kan die financiële flexibiliteit materieel zijn.
Kapitaalallocatie wordt nu een belangrijk onderdeel van de thesis
De sterkere balans is alleen waardevol wanneer het management er verstandig mee omgaat. Juist daarom is de aangescherpte projectselectie relevant.
Nieuwe investeringen moeten hoge groei, een EBITDA-marge boven 20%, technologische differentiatie en een mission-critical positie combineren. Daarmee wordt de hurdle rate voor nieuw kapitaal veel hoger dan in het verleden. Als Kendrion die discipline volhoudt, kan de ROIC structureel hoog blijven terwijl de onderneming groeit.
Het grootste risico zou zijn dat de sterkere balans uiteindelijk wordt gebruikt voor een grote acquisitie die vooral omzet toevoegt maar onvoldoende rendement. De kwaliteit van kapitaalallocatie wordt daarom de komende jaren minstens zo belangrijk als de kwaliteit van de technologie.
Waardering: geen diepe value, maar ook geen robotics-premie
De huidige consensus gaat voor 2026 uit van ongeveer €255 miljoen omzet, circa €41 miljoen EBITDA en een winst per aandeel van ongeveer €1,23. Voor 2027 liggen de verwachtingen rond €266 miljoen omzet, €45 miljoen EBITDA en ongeveer €1,37 winst per aandeel.
Dat betekent dat de markt Kendrion niet langer behandelt alsof het in financiële problemen zit. Dat is logisch gezien de verbeterde balans en marges. Maar er zit evenmin een uitgesproken robotics- of Physical AI-premie in de huidige waardering.
Daar ligt de interessantste asymmetrie. Wanneer Kendrion simpelweg een degelijk Europees industrieel bedrijf blijft, hoeft de multiple niet veel hoger. Wanneer daarentegen wordt bewezen dat een steeds groter gedeelte van omzet en winst afkomstig is uit hoogwaardige automation-, robotics-, safety- en electrificationtoepassingen en ROIC structureel boven 20% blijft, kan een hogere multiple verdedigbaar worden. Dan kunnen earningsgroei en multiple-expansie tegelijkertijd voor aandeelhouders werken.
De risico’s moeten even zwaar wegen als de kansen
Het eerste risico is gewone industriële cycliciteit. Een zwakke Duitse of bredere Europese industrie, lagere machinebouworders of uitgestelde capex kunnen de resultaten raken, ook wanneer robotics structureel blijft groeien.
Een tweede risico is dat robotics hard groeit maar Kendrions content per machine onvoldoende toeneemt. Een aantrekkelijke eindmarkt garandeert nooit automatisch een aantrekkelijke leverancier.
Een derde risico is commoditisering. Chinese leveranciers ontwikkelen steeds meer motors, brakes, actuators en control technology tegen lagere kosten. Kendrion moet daarom blijven winnen via reliability, certification, engineering, intellectual property en switching costs.
Daarnaast blijft execution cruciaal. Een verdubbelde projectpipeline heeft weinig waarde wanneer onvoldoende projecten daadwerkelijk naar serieproductie converteren. Tot slot is er waarderingsrisico. Kendrion is geen distressed aandeel meer. Wanneer marges, ROIC of groei tegenvallen, kan de markt de huidige kwaliteitsverbetering weer gedeeltelijk uit de multiple halen.
China is tegelijk bevestiging en bedreiging
De snelle ontwikkeling van Chinese robotics bevestigt dat de wereldwijde markt voor motion components en automation sterk kan groeien. Tegelijkertijd laat China zien hoe snel hardwareprijzen kunnen dalen wanneer productievolumes toenemen.
Kendrion heeft zijn Chinese activiteiten verkocht en concentreert zich daardoor veel sterker op Europa en de Verenigde Staten. Daarmee heeft het bedrijf minder directe exposure naar de Chinese roboticsboom, maar ook minder afhankelijkheid van een markt waarin prijsconcurrentie buitengewoon hard kan worden.
De verdediging moet daarom kwaliteit zijn, niet prijs. Kendrion moet ervoor zorgen dat klanten niet willen overstappen naar de goedkoopste component, omdat de kosten van een fout vele malen groter zijn dan de besparing op de aanschafprijs.
Waarom Kendrion aantrekkelijker is geworden als overnamedoelwit
De herstructurering verandert niet alleen de stand-alone investment case. Zij verhoogt ook de strategische aantrekkelijkheid van de onderneming voor mogelijke kopers.
Het oude Kendrion was veel ingewikkelder. Een koper kreeg Automotive, China en verschillende industriële activiteiten tegelijkertijd. Dat maakte due diligence, integratie en een mogelijke opsplitsing complexer.
Het nieuwe Kendrion is veel overzichtelijker. De kern bestaat uit twee industriële activiteiten rond motion technology en control, terwijl de resterende Mobility-activiteiten verder worden afgebouwd. Voor een grote internationale automation-, motion-, servo-, drive- of roboticsgroep is Kendrion bovendien financieel behapbaar. Een overname hoeft voor zo’n koper geen balansbepalende transactie te zijn. Daarmee is de strategische logica van een overname duidelijk sterker geworden dan enkele jaren geleden.
Wat kan een strategische koper méér verdienen dan de beurs?
Een strategische koper kijkt niet alleen naar de huidige EBITDA van Kendrion. Hij kijkt naar wat die winst binnen zijn eigen organisatie kan worden.
Daar kunnen verschillende synergieën ontstaan. Procurement kan worden gecombineerd, productiefaciliteiten kunnen efficiënter worden benut, dubbele corporate functies kunnen verdwijnen en Kendrions producten kunnen via een groter internationaal verkoopnetwerk worden aangeboden.
Daarnaast kan een koper waarde hechten aan klantrelaties, qualification, intellectual property, R&D en bestaande design-ins die niet volledig zichtbaar zijn in de gerapporteerde financiële cijfers.
Industrial Brakes kan bijvoorbeeld interessant zijn voor een partij die al servo motors, drives, robotics of precision motion verkoopt. IAC kan juist strategische waarde hebben voor een onderneming actief in automation, electrification, embedded electronics of industrial control.
Dat betekent dat Kendrion voor een strategische koper meer waard kan zijn dan voor een financiële belegger die alleen de stand-alone cashflows waardeert.
Scenario één: een strategische overname van heel Kendrion
Het eenvoudigste overnamescenario is dat één industriële partij heel Kendrion koopt. De koper krijgt beide kernactiviteiten, klanten, R&D, intellectual property en productiefaciliteiten en kan vervolgens zelf bepalen hoe de onderdelen worden geïntegreerd.
De aanzienlijk betere balans maakt dat scenario bovendien eenvoudiger. Eind 2025 bedroeg de nettoschuld slechts €30,3 miljoen, waardoor een mogelijke koper veel minder financiële ballast hoeft over te nemen dan enkele jaren geleden.
Een strategische koper kan daardoor een hogere premie rationeel verantwoorden wanneer voldoende commerciële en operationele synergie bestaat. Dat betekent nadrukkelijk niet dat er momenteel een bod op komst is. Er zijn geen concrete publieke aanwijzingen voor een transactie. Het gaat uitsluitend om strategische optionaliteit.
Scenario twee: een private-equity take-private
Een andere mogelijkheid is dat een financiële koper Kendrion van de beurs haalt. Voor private equity is de case duidelijk aantrekkelijker geworden. De onderneming is overzichtelijker, de schuld is fors lager, de vrije kasstroom is positief en de operationele marge is verbeterd. Daarnaast bestaan twee duidelijke industriële activiteiten met mogelijk verschillende toekomstige strategische kopers.
Een financiële koper zou het bedrijf van de beurs kunnen halen, de kostenstructuur verder optimaliseren, de productmix richting hogere marges sturen en enkele jaren gebruiken om de projectpipeline te laten converteren naar serieproductie.
Daarna kan Kendrion opnieuw als geheel worden verkocht of kunnen de afzonderlijke kernactiviteiten apart worden verkocht. Dat is een klassieke buy-build-improve-exit-logica.
Hoe zou een LBO-rekensom eruit kunnen zien?
Een take-private moet wel financieel rationeel zijn. Uitgaande van circa €41 miljoen verwachte EBITDA voor 2026 en €30,3 miljoen nettoschuld is Kendrions stand-alone enterprise value bij een normale beurswaardering relatief beheersbaar.
Een private-equitypartij zal echter een premie moeten betalen om aandeelhouders te overtuigen. Stel illustratief dat een koper uiteindelijk uitkomt op een enterprise value van ongeveer 9 tot 10 keer de verwachte EBITDA. Dan praat je bij €41 miljoen EBITDA over grofweg €370–410 miljoen ondernemingswaarde.
Dat is geen extreem lage instapprijs. De financiële koper moet het rendement daarom creëren via een combinatie van EBITDA-groei, schuldafbouw, operationele verbetering en een aantrekkelijke exitmultiple.
Leverage kan helpen, maar juist daar moet discipline worden behouden. Bij ongeveer 3 keer EBITDA zou de bruto schuldcapaciteit theoretisch rond €123 miljoen liggen; bij 4 keer EBITDA rond €164 miljoen. Voor een cyclisch industrieel bedrijf zou te veel leverage echter juist één van de sterkste onderdelen van de huidige Kendrion-case opnieuw beschadigen. Een PE-koper zal dus nog steeds een substantieel bedrag aan eigen vermogen moeten inbrengen.
Scenario drie: take-private en daarna opsplitsen
Dit is mogelijk de interessantste variant. Industrial Brakes en Industrial Actuators & Controls zijn technologisch verwant, maar niet noodzakelijk voor dezelfde strategische koper even aantrekkelijk.
Industrial Brakes kan bijzonder interessant zijn voor partijen in servo motors, drives, precision motion en robotics. IAC kan juist beter passen bij een grotere automation-, electrification- of controlsgroep.
Een private-equitypartij zou Kendrion daarom in theorie volledig kunnen kopen, beide activiteiten enkele jaren zelfstandig verder ontwikkelen en vervolgens twee afzonderlijke exitprocessen starten. Daarmee ontstaat potentiële break-up value. Het interessante hieraan is dat een koper van één onderdeel mogelijk een hogere strategische multiple wil betalen dan de beurs vandaag voor de gecombineerde onderneming toekent.
Waarom we geen exacte break-up value verzinnen
Hier moet de analyse juist streng blijven. Kendrion rapporteert afzonderlijke omzet voor Industrial Brakes en IAC, maar niet voldoende afzonderlijke EBITDA-, capex-, vrije-kasstroom- en ROIC-data om beide activiteiten als volledig zelfstandige ondernemingen professioneel te waarderen.
We weten dat Industrial Brakes in 2025 €93,7 miljoen omzet genereerde en IAC €110,4 miljoen. Maar alleen deze omzetten vermenigvuldigen met willekeurige multiples zou schijnprecisie zijn.
Een echte sum-of-the-parts vereist minimaal afzonderlijke EBITDA, werkkapitaal, capex, vrije kasstroom, groei en corporate-cost allocations. Daarom is de professionele conclusie niet dat er een exact bedrag aan verborgen break-up value bestaat. De conclusie is dat de industriële logica daarvoor aanwezig is en dat verschillende strategische kopers verschillende waarderingen voor IB en IAC kunnen hanteren.
Wat betekenen verschillende overnamemultiples?
Voor heel Kendrion kunnen we wel een eenvoudige gevoeligheidsanalyse maken. Daarbij gebruiken we als illustratie €41 miljoen EBITDA voor 2026, ongeveer €30,3 miljoen nettoschuld en afgerond 15 miljoen economisch uitstaande aandelen. Dit zijn nadrukkelijk geen koersdoelen of voorspellingen van een bod.
Bij 8 keer EBITDA komt de enterprise value uit op ongeveer €328 miljoen. Na aftrek van de nettoschuld resteert circa €298 miljoen equity value, oftewel ongeveer €19,85 per aandeel.
Bij 10 keer EBITDA stijgt de enterprise value naar ongeveer €410 miljoen. De equity value komt dan uit op circa €380 miljoen, wat neerkomt op ongeveer €25,30 per aandeel.
Bij 12 keer EBITDA bedraagt de enterprise value ongeveer €492 miljoen. Na aftrek van nettoschuld resteert ongeveer €462 miljoen equity value, oftewel circa €30,80 per aandeel.
Het verschil tussen deze scenario’s laat precies zien waar de discussie om draait. Een koper die Kendrion als gewone industriële componentenproducent ziet, heeft weinig ruimte om een enorme premie te betalen. Een koper die sterke synergie ziet of afzonderlijke strategische waarde in IB en IAC herkent, kan tot een veel hogere economische waarde komen.
De aandeelhoudersstructuur maakt een goedkope overval moeilijker
Een eventuele koper krijgt bovendien te maken met een geconcentreerd aandeelhoudersregister. Teslin bezit ongeveer 20% en Kempen circa 15%, terwijl de grotere gemelde belangen gezamenlijk ongeveer de helft van het kapitaal vertegenwoordigen.
Dat maakt een vijandige overname tegen een opportunistische prijs moeilijker. Een koper die controle wil verkrijgen zal waarschijnlijk een overtuigende prijs moeten bieden en steun moeten krijgen van het bestuur en meerdere belangrijke aandeelhouders. Voor bestaande aandeelhouders kan dat juist gunstig zijn, omdat een strategische koper moeilijk kan rekenen op een extreem versnipperd register waarin met een geringe premie snel controle kan worden opgebouwd.
Andersom betekent dit ook dat zelfs een ogenschijnlijk aantrekkelijk bod kan stranden wanneer grote aandeelhouders geloven dat Kendrion zelfstandig meer waard kan worden.
Een bod is nadrukkelijk niet nodig voor de investment case
Dit onderscheid is essentieel. We zouden Kendrion niet kopen omdat er een overname móét komen. De onderneming moet zelfstandig voldoende aantrekkelijk zijn.
Wanneer Industrial Brakes en IAC blijven groeien, de EBITDA-marge binnen de 15–18%-range blijft, ROIC structureel boven 20% blijft en de nieuwe projectpipeline daadwerkelijk naar serieproductie converteert, kan Kendrion zelfstandig meer waard worden.
Juist wanneer dat gebeurt, wordt de onderneming tegelijkertijd aantrekkelijker voor strategische kopers en private equity. De overnameoptionaliteit werkt dus boven op een succesvolle stand-alone case in plaats van als reddingsboei voor een zwakke onderneming.
Wat moet Kendrion tot eind 2028 bewijzen?
De eerste test is autonome groei. Industrial Brakes en IAC moeten structureel beter kunnen presteren dan de zwakke delen van de traditionele Europese industrie. De strategische groeidoelstelling van 5–8% per jaar vormt daarbij een duidelijke meetlat.
De tweede test is projectconversie. De verdubbelde pipeline bij Industrial Brakes en het recordaantal klantprojecten bij IAC moeten zichtbaar worden in design wins en vervolgens serieproductie.
De derde test is marge. De EBITDA-marge moet duurzaam binnen de 15–18%-range blijven en idealiter richting de bovenkant bewegen wanneer nieuwe projecten groter worden.
De vierde test is ROIC. Een rendement rond 25% is aantrekkelijk, maar moet over meerdere jaren worden bevestigd. Structureel boven 20% blijven terwijl tegelijkertijd in groei wordt geïnvesteerd zou een sterke reden zijn voor een hogere waardering.
De vijfde test is cash conversion. Winst moet daadwerkelijk vrije kasstroom worden. De €25,6 miljoen over 2025 vormt daarvoor een goede basis, maar mag geen eenmalige uitschieter blijken.
En uiteindelijk moet Kendrion meer duidelijkheid kunnen geven over hoeveel robotics, automation, safety, medical technology en electrification daadwerkelijk bijdragen aan orders en omzet. De technologieverhalen zijn interessant, maar uiteindelijk moeten ze financieel zichtbaar worden.
Wat zou onze visie veranderen?
De positieve investment case wordt duidelijk zwakker wanneer de EBITDA-marge structureel onder 15% terugvalt, ROIC opnieuw richting de oude niveaus beweegt of Industrial Brakes en IAC ondanks aantrekkelijke eindmarkten onvoldoende autonome groei realiseren.
Ook een pipeline die onvoldoende naar serieproductie converteert zou een belangrijk waarschuwingssignaal zijn. Robotics mag geen marketinglabel blijven; nieuwe producten moeten uiteindelijk orders en omzet genereren.
We zouden daarnaast kritisch worden wanneer de sterkere balans wordt gebruikt voor een grote acquisitie tegen een laag verwacht rendement. Het kapitaaldisciplineverhaal is juist één van de belangrijkste verbeteringen.
Tot slot blijft commoditisering een wezenlijk risico. Wanneer Chinese concurrenten hoogwaardige brakes, actuators en controls steeds goedkoper kunnen produceren en Kendrion onvoldoende differentiatie via reliability, certification, IP en engineering behoudt, kan een groeiende roboticsmarkt alsnog gepaard gaan met druk op marges.
Conclusie
Kendrion is na de herstructurering een financieel sterker en strategisch interessanter industrieel technologiebedrijf geworden, precies op het moment dat robotics, automation, electrification en Physical AI de waarde van motion, control en safety kunnen vergroten.
Met sterk verbeterde marges, ROIC rond 25%, fors lagere schuld en een groeiende projectpipeline is de stand-alone case duidelijk aantrekkelijker geworden, terwijl een strategische overname, private-equity take-private of latere opsplitsing van Industrial Brakes en IAC interessante extra optionaliteit biedt.
Voor beleggers met geduld zien we daarom een mogelijke langetermijnkoop, maar alleen wanneer Kendrion de komende jaren bewijst dat de verbeterde kwaliteit structureel is en de nieuwe technologie daadwerkelijk naar omzet en vrije kasstroom converteert.

Kendrion: from forgotten industrial small-cap to potential winner of the Physical AI revolution
■ Following the sale of Automotive and China, Kendrion has become a much cleaner industrial technology company centred on Industrial Brakes and Industrial Actuators & Controls.
■ The real growth opportunity lies in robotics, automation, motion control and Physical AI: the more intelligent machines become, the greater the need for brakes, actuators, controls and safety.
■ Financial quality has improved substantially, with higher margins, high ROIC, strong free cash flow and a much cleaner balance sheet. That already makes Kendrion more interesting on a stand-alone basis for patient investors.
■ At the same time, the simplification of the company has made Kendrion more attractive as a potential takeover target. A larger motion, robotics or automation group could see strategic value in its technology, customers and engineering expertise.
■ A private-equity take-private is also conceivable: acquire Kendrion, take it off the stock market, further improve operations and potentially sell Industrial Brakes and IAC separately at a later stage. This takeover and break-up optionality sits on top of the stand-alone investment case and therefore represents additional potential value.
Introduction
In our view, Kendrion deserves a completely fresh assessment. Not because the company has suddenly become an AI business, but because two developments are taking place simultaneously. Kendrion has radically simplified and financially strengthened itself, while the industrial world in which it operates is moving increasingly rapidly towards robotics, automation, electrification and ultimately Physical AI.
The first major AI investment wave was primarily about chips, data centres, foundation models and software. The next step is for that intelligence to become increasingly connected to machines that actually perform tasks in the physical world. An AI model can determine how a robot should move, but it cannot itself turn an axis, hold an object or bring a machine safely to a stop. Actuators, motor control, brakes, embedded electronics and safety systems remain necessary to do that. That is precisely where Kendrion operates.
At the same time, the old Kendrion has largely disappeared. The Automotive activities in Europe and the United States have been sold and the Chinese operations have also been divested. The remaining Mobility activities are being further wound down, increasingly concentrating strategic attention on Industrial Brakes and Industrial Actuators & Controls.
In 2025, €204.1 million of total continuing-operations revenue of €245.5 million came from these two industrial businesses. Industrial Brakes generated €93.7 million and Industrial Actuators & Controls €110.4 million. The industrial activities have therefore clearly become the economic core of the company.
Investment view
Our Investment view on Kendrion is cautiously positive. For patient investors, we see a potential long-term buying opportunity, but the case should explicitly not be based on the assumption that Kendrion suddenly deserves a robotics or AI multiple. The company first needs to prove that its new strategic direction genuinely produces structurally higher growth, strong margins, high capital efficiency and sustainable free cash flow.
The starting position has improved considerably. In Q1 2026, Group revenue increased 5% to €65.2 million. Industrial Brakes grew 9% to €26.4 million and Industrial Actuators & Controls increased 4% to €28.3 million. Normalised EBITDA rose 21% to €11.0 million, lifting the margin from 14.7% to 16.9%. Normalised EBITA increased 33% to €8.0 million and rolling ROIC improved from 13.4% to 25.3%.
For us, the combination is particularly important. Kendrion is not producing spectacular revenue growth, but earnings are growing much faster than revenue and the return on invested capital has improved sharply. At the same time, the balance sheet has been cleaned up and management is concentrating new investments on activities intended to be technologically differentiated, mission-critical and structurally attractive growth businesses.
If Kendrion can demonstrate over the coming years that robotics, automation, safety, electrification and medical technology genuinely account for a larger share of new orders and revenue, not only earnings but also the valuation multiple investors are willing to pay for those earnings could rise. That is where we believe the real asymmetry lies.
The new Kendrion is fundamentally different
The restructuring should not simply be seen as the disposal of businesses. Kendrion has effectively decided what kind of company it wants to become. Revenue generating insufficient returns has become less important, while specialised industrial applications with high added value have been explicitly prioritised.
That represents a fundamentally different approach to capital allocation. Under the strategy, new growth projects should offer annual revenue growth potential above 10% and be capable of achieving EBITDA margins above 20% at full scale. Kendrion also looks for clear technological differentiation through proprietary expertise, intellectual property, certification or another position that is difficult to replicate.
Ideally, Kendrion supplies a component that is essential to the customer while representing only a small part of the system's total cost. Economically, that is particularly attractive. When a component is relatively inexpensive but failure could be extremely costly, purchase price becomes less important. Reliability, qualification, certification and proven performance then carry greater weight. That is precisely the kind of niche in which a relatively small industrial company can earn high returns without having to achieve enormous production volumes itself.
What exactly does Kendrion do today?
The company essentially rests on two technologically related pillars. Industrial Brakes develops electromagnetic braking systems for servo motors, industrial robots, cobots, intralogistics, wind energy, medical equipment and other automated machinery. Such a brake is much more than a simple braking device. Inside a robot joint or servo drive, the component may be needed to position and hold an axis precisely, stop a movement in a controlled way during an emergency or safely lock the system during a power failure.
Industrial Actuators & Controls is broader. It includes electromagnetic actuators, motor control, embedded electronics, industrial control systems, locking technology and inductive heating. Applications range from industrial automation and medical technology to electrified equipment and specialised machinery. The combination puts Kendrion at an interesting point in the value chain: precisely where a digital instruction has to be translated into physical movement and then executed safely.
Why AI could make Kendrion strategically more interesting
The first phase of AI primarily took place in the digital world. Models could write, code, analyse and support decision-making. Physical AI brings intelligence into machines that actually perform tasks in the physical world.
Software alone is insufficient for that. A model can calculate that a robot arm needs to rotate 42 degrees, but the model itself generates no torque. A motor, actuator, transmission and control system are needed. An AI system can recognise that a worker is too close to a robot, but a certified safety architecture must then ensure that movement, speed or force is immediately restricted safely.
That is where Kendrion's indirect AI exposure lies. The company does not need to build a foundation model and it does not need to predict which robot manufacturer will ultimately become the market leader. It can benefit as more machines become intelligent, electric and autonomous. That potentially makes Kendrion a European picks-and-shovels player within Physical AI.
Physical AI could actually increase the value of reliable hardware
A common misconception around robotics is that better software automatically makes physical hardware less important. In safety-critical motion, the opposite may actually occur.
A traditional industrial robot performs predefined movements in a largely controlled environment. A collaborative or adaptive robot needs to react dynamically to people and objects, limit forces and independently deal with unexpected situations. The more decisions software makes autonomously, the more important it becomes that the physical layer executes those decisions precisely, rapidly and safely.
Precision brakes, actuators, motor control and safety systems can therefore benefit without representing an enormous proportion of the total cost of a robot. The economic attraction lies precisely in Kendrion targeting technologies where the cost of failure is high while the component itself is relatively inexpensive. A robot manufacturer is less likely to switch suppliers merely to save a few euros when a brake, actuator or safety controller is essential to certification, uptime and the safety of a much more expensive system.
Robotics safety could become strategically more important
One of the most interesting new developments is the Safety Architecture for Robotics introduced by Kendrion in June 2026. The solution combines a SIL3/PLe-certified Safety PLC with a robotics library for kinematic safety functions.
The architecture supports applications with up to nine axes, has a minimum cycle time of 2 milliseconds and works with EtherCAT and FSoE. The system is also vendor-neutral. That is strategically relevant because a robot manufacturer or integrator does not have to be completely dependent on one proprietary safety platform. As robotics moves further towards open architectures, an independent safety solution can occupy a valuable position between robot hardware, servo systems and the final application.
The timing is also interesting. The new ISO 10218:2025 standard places greater emphasis on the complete robot application, dynamic safety zones, force monitoring and human-machine collaboration. Physical AI makes robots more intelligent, but that does not make safety less important. It makes safety more complex.
Industrial Brakes is far more technological than the name suggests
The name Industrial Brakes sounds traditional, but its applications increasingly are not. In April 2026, Kendrion introduced the Slim PM Line, a compact permanent-magnet brake for servo motors in the low- and mid-torque segment from 2.7 to 17 Nm.
The product line targets robotics, automation and medical technology. Importantly, the Slim PM uses the same mechanical and electrical interface as Kendrion's High Torque Line. OEMs can therefore cover different torque ranges without requiring a completely new motor design.
That can create switching costs. Once a component has been designed, tested and qualified within a servo platform, moving to another supplier becomes less attractive because engineering and certification may have to be repeated. Kendrion does not need to wait for a large humanoid market. The much more tangible early market consists of industrial robots, cobots, packaging equipment, conveyors, intralogistics and other existing servo-driven automation. That can become commercially relevant much sooner.
Industrial Actuators & Controls provides a second growth engine
With €110.4 million of revenue in 2025, IAC is larger than Industrial Brakes and makes the investment case less dependent on robotics alone. Its activities include actuators, motor control, embedded electronics, industrial locking, control systems and inductive heating.
A good example is VIPER Motor Control, introduced in May 2026. It is a sensorless controller for battery-powered equipment used in forestry, agriculture, construction and mining and operates across a 12-to-48-volt range.
The broader trend behind this is electrification. Mechanical and hydraulic functions are increasingly being replaced or supplemented by electrically controlled systems that can be managed more precisely and communicate more easily with software. Automation, electrification and ultimately Physical AI are therefore increasingly converging.
The new products show where the company wants to go
The 2026 product launches collectively show a clear direction. April brought the Slim PM Line for robotics and automation, May brought VIPER Motor Control for electrified machinery and June brought the Safety Architecture for Robotics.
These are not isolated product introductions. They all point towards the same strategic movement: more intelligent motion, more electrification, more robotics and more safety-critical technology. At the same time, technology must be distinguished from revenue. A product launch is not yet a commercial breakthrough. Design wins, qualification and serial production need to follow before new products make a material contribution to revenue and earnings.
The project pipeline is the bridge between story and revenue
Industrial Brakes reported that its project pipeline had doubled after sales, product management and R&D were brought closer together. IAC simultaneously managed a record number of new customer projects.
That is positive, but a professional investment case should never equate pipeline with revenue. In industrial technology, considerable time can pass between initial customer contact and serial production. A product must be designed, integrated, tested, qualified and sometimes certified. The customer's final product must then itself actually be commercially scaled.
Project conversion therefore becomes the key KPI through 2028. We want to see projects move from engineering into design-in, then qualification and ultimately serial production. When that happens, the robotics and automation thesis will become genuinely visible in the financial results.
The financial improvement started before the Physical AI thesis
This is an important part of the case. Kendrion does not need to wait for an explosion in robotics to improve financially.
For full-year 2025, continuing-operations revenue amounted to €245.5 million and was broadly stable. Normalised EBITDA nevertheless reached €38.1 million, representing a margin of 15.5%. Free cash flow amounted to €25.6 million and ROIC reached 24.6%.
That improvement accelerated in Q1 2026. Revenue increased 5% to €65.2 million, while EBITDA rose 21% and EBITA increased 33%. The EBITDA margin reached 16.9%. Profitability is therefore growing much faster than revenue. For us, that matters more than spectacular volume growth because it suggests that product mix, pricing and the cost structure are collectively beginning to create a qualitatively better earnings profile.
ROIC may be the most important number in the entire case
Rolling ROIC increased to 25.3% in Q1 2026 from 13.4% a year earlier. Full-year 2025 ROIC had already reached 24.6%.
That changes the discussion. An industrial company growing revenue by 5% while generating low returns on capital deserves a very different valuation from one combining the same growth with ROIC above 20%.
The question is therefore not whether Kendrion can report high ROIC for one quarter. The question is whether that capital efficiency can be maintained while simultaneously investing in new robotics, automation and electrification projects. If it can, Kendrion can increasingly begin to resemble a high-quality niche industrial company economically rather than an ordinary cyclical components producer.
There is still room in the margin
The EBITDA margin was 15.5% in 2025 and 16.9% in Q1 2026. Kendrion is therefore already clearly within its own strategic range of 15–18%.
New projects, however, are internally required to be capable of achieving EBITDA margins above 20% at full scale. The future revenue mix could therefore theoretically become increasingly attractive. Kendrion does not need spectacular revenue growth for this to work. If older activities are gradually replaced by higher-margin projects while Group revenue simultaneously grows by a few percentage points annually, earnings can rise much faster than revenue. That is where operating leverage emerges.
The balance sheet has moved from constraint to strategic advantage
The balance sheet has also changed fundamentally. Net debt was still €103.4 million at the end of 2024. By the end of 2025, it had fallen to €30.3 million.
Free cash flow of €25.6 million also demonstrates that the improvement is not merely accounting-based. Kendrion was therefore able to return capital to shareholders. Following the China disposal, a special dividend of €1.00 per share was paid. A regular dividend of €0.70 per share for 2025 was also proposed and the €10 million share buyback programme was completed in March 2026.
That gives management far greater flexibility. Organic growth, dividends, share repurchases, targeted acquisitions and further debt reduction can now be weighed against each other much more rigorously. For a small-cap company, that financial flexibility can be material.
Capital allocation now becomes an important part of the thesis
A stronger balance sheet is only valuable if management uses it intelligently. That is precisely why the stricter project selection is relevant.
New investments must combine high growth, EBITDA margins above 20%, technological differentiation and a mission-critical position. This creates a substantially higher hurdle rate for new capital than in the past. If Kendrion maintains that discipline, ROIC can remain structurally high while the company grows.
The largest risk would be that the stronger balance sheet is eventually used for a major acquisition that primarily adds revenue but insufficient returns. The quality of capital allocation will therefore become at least as important as the quality of the technology over the coming years.
Valuation: no deep value, but no robotics premium either
Current consensus expects approximately €255 million of revenue, around €41 million of EBITDA and earnings per share of approximately €1.23 for 2026. For 2027, expectations are around €266 million of revenue, €45 million of EBITDA and approximately €1.37 of earnings per share.
The market therefore no longer treats Kendrion as though it were financially distressed. That is logical given the improved balance sheet and margins. But the valuation does not appear to contain an explicit robotics or Physical AI premium either.
That is where the most interesting asymmetry lies. If Kendrion simply remains a solid European industrial company, its multiple does not necessarily need to rise substantially. If, however, it demonstrates that an increasing proportion of revenue and earnings comes from high-value automation, robotics, safety and electrification applications while ROIC remains structurally above 20%, a higher multiple can become justifiable. Earnings growth and multiple expansion could then work simultaneously for shareholders.
The risks must carry as much weight as the opportunities
The first risk is ordinary industrial cyclicality. A weak German or broader European industrial economy, lower machine-building orders or postponed capex can affect results even if robotics continues to grow structurally.
A second risk is that robotics grows rapidly but Kendrion's content per machine fails to increase sufficiently. An attractive end market never automatically guarantees an attractive supplier.
A third risk is commoditisation. Chinese suppliers are developing more motors, brakes, actuators and control technology at lower cost. Kendrion therefore has to continue winning through reliability, certification, engineering, intellectual property and switching costs.
Execution also remains crucial. A doubled project pipeline has little value if insufficient projects actually convert into serial production. Finally, there is valuation risk. Kendrion is no longer a distressed stock. If margins, ROIC or growth disappoint, the market can remove part of the current quality improvement from the multiple again.
China is both confirmation and threat
The rapid development of Chinese robotics confirms that the global market for motion components and automation can grow strongly. At the same time, China demonstrates how quickly hardware prices can decline when production volumes increase.
Kendrion has sold its Chinese activities and is therefore much more concentrated on Europe and the United States. This gives the company less direct exposure to the Chinese robotics boom, but also less dependence on a market where price competition can become extraordinarily intense.
The defence must therefore be quality rather than price. Kendrion needs to make sure customers do not want to switch to the cheapest component because the cost of failure is many times greater than the saving on the purchase price.
Why Kendrion has become more attractive as a takeover target
The restructuring changes more than the stand-alone investment case. It also increases the company's strategic attractiveness to potential buyers.
The old Kendrion was considerably more complicated. A buyer acquired Automotive, China and several industrial activities simultaneously. That made due diligence, integration and any potential break-up more complex.
The new Kendrion is much easier to understand. Its core consists of two industrial businesses centred on motion technology and control, while the remaining Mobility activities are being wound down further. For a large international automation, motion, servo, drive or robotics group, Kendrion is also financially manageable. An acquisition would not necessarily be a balance-sheet-defining transaction for such a buyer. The strategic logic of an acquisition is therefore clearly stronger than it was several years ago.
What could a strategic buyer earn that the stock market cannot?
A strategic buyer does not merely look at Kendrion's current EBITDA. It looks at what those earnings could become inside its own organisation.
Several synergies could arise. Procurement can be combined, production facilities can be used more efficiently, duplicate corporate functions can disappear and Kendrion's products can be sold through a larger international sales network.
A buyer can also attach value to customer relationships, qualification, intellectual property, R&D and existing design-ins that are not fully visible in reported financial figures.
Industrial Brakes, for example, could be attractive to a company already selling servo motors, drives, robotics or precision motion. IAC could have strategic value for a company active in automation, electrification, embedded electronics or industrial control.
Kendrion could therefore be worth more to a strategic buyer than to a financial investor valuing only its stand-alone cash flows.
Scenario one: a strategic acquisition of all of Kendrion
The simplest takeover scenario is for one industrial group to acquire all of Kendrion. The buyer obtains both core businesses, customers, R&D, intellectual property and production facilities and can then decide how to integrate them.
The substantially improved balance sheet also makes that scenario easier. Net debt was only €30.3 million at the end of 2025, meaning a potential buyer would assume much less financial baggage than several years ago.
A strategic buyer could therefore rationally justify a higher premium where sufficient commercial and operational synergies exist. This explicitly does not mean that a bid is currently imminent. There are no concrete public indications of a transaction. This is purely strategic optionality.
Scenario two: a private-equity take-private
Another possibility is for a financial buyer to take Kendrion private. The case has clearly become more attractive to private equity. The company is simpler, debt is substantially lower, free cash flow is positive and operating margins have improved. It also contains two clear industrial businesses that could have different future strategic buyers.
A financial buyer could acquire the company, remove it from the stock exchange, further optimise the cost structure, shift the product mix towards higher margins and use several years to allow the project pipeline to convert into serial production.
Kendrion could subsequently be sold again as a whole or the individual core businesses could be sold separately. That is classic buy-build-improve-exit logic.
What could an LBO calculation look like?
A take-private still needs to make financial sense. Based on approximately €41 million of expected EBITDA for 2026 and €30.3 million of net debt, Kendrion's stand-alone enterprise value is relatively manageable at a normal market valuation.
A private-equity buyer would nevertheless have to pay a premium to convince shareholders. Illustratively, assume a buyer ultimately pays an enterprise value of around 9 to 10 times expected EBITDA. At €41 million of EBITDA, that implies an enterprise value of roughly €370–410 million.
That is not an extremely low entry price. The financial buyer therefore needs to create returns through a combination of EBITDA growth, debt reduction, operational improvement and an attractive exit multiple.
Leverage can help, but discipline is essential. At around 3 times EBITDA, theoretical gross debt capacity would be approximately €123 million; at 4 times EBITDA it would be around €164 million. For a cyclical industrial company, however, excessive leverage would damage one of the strongest elements of the current Kendrion case. A PE buyer would therefore still have to contribute a substantial amount of equity.
Scenario three: take-private followed by a break-up
This may be the most interesting variation. Industrial Brakes and Industrial Actuators & Controls are technologically related, but they are not necessarily equally attractive to the same strategic buyer.
Industrial Brakes could be particularly interesting to companies active in servo motors, drives, precision motion and robotics. IAC might fit better with a larger automation, electrification or controls group.
A private-equity investor could therefore theoretically acquire all of Kendrion, develop both activities independently for several years and subsequently run two separate exit processes. That creates potential break-up value. What makes this interesting is that a buyer of one individual division could be willing to pay a higher strategic multiple than the stock market currently attributes to the combined company.
Why we do not invent an exact break-up value
This is precisely where the analysis needs to remain disciplined. Kendrion reports separate revenue for Industrial Brakes and IAC, but does not provide sufficient separate EBITDA, capex, free-cash-flow and ROIC information to value both businesses professionally as fully independent companies.
We know Industrial Brakes generated €93.7 million of revenue in 2025 and IAC €110.4 million. Simply multiplying those revenues by arbitrary multiples would create false precision.
A genuine sum-of-the-parts valuation requires at least separate EBITDA, working capital, capex, free cash flow, growth and corporate-cost allocations. The professional conclusion is therefore not that an exact amount of hidden break-up value exists. The conclusion is that the industrial logic for such value exists and that different strategic buyers could apply different valuations to IB and IAC.
What do different takeover multiples imply?
For Kendrion as a whole, we can make a simple sensitivity analysis. As an illustration, we use €41 million of EBITDA for 2026, approximately €30.3 million of net debt and around 15 million economically outstanding shares. These are explicitly not price targets or predictions of a bid.
At 8 times EBITDA, enterprise value would be approximately €328 million. After deducting net debt, equity value would be around €298 million, equivalent to approximately €19.85 per share.
At 10 times EBITDA, enterprise value rises to approximately €410 million. Equity value would be around €380 million, or approximately €25.30 per share.
At 12 times EBITDA, enterprise value would be approximately €492 million. After deducting net debt, approximately €462 million of equity value remains, equivalent to around €30.80 per share.
The difference between these scenarios demonstrates exactly what the debate is about. A buyer viewing Kendrion as an ordinary industrial components producer has limited room to pay an enormous premium. A buyer seeing substantial synergies or recognising separate strategic value in IB and IAC could arrive at a much higher economic value.
The shareholder structure makes a cheap raid more difficult
A potential buyer would also face a concentrated shareholder register. Teslin owns approximately 20% and Kempen around 15%, while the larger reported holdings together represent roughly half of the capital.
That makes a hostile acquisition at an opportunistic price more difficult. A buyer seeking control would probably have to offer a convincing price and secure support from the board and several major shareholders. That could be advantageous for existing shareholders because a strategic buyer cannot easily rely on an extremely fragmented shareholder base where control can quickly be obtained with a modest premium.
Conversely, even an apparently attractive offer could fail if major shareholders believe Kendrion can create greater value independently.
A bid is explicitly not necessary for the investment case
This distinction is essential. We would not buy Kendrion because a takeover has to happen. The company needs to be sufficiently attractive on a stand-alone basis.
If Industrial Brakes and IAC continue growing, the EBITDA margin remains within the 15–18% range, ROIC stays structurally above 20% and the new project pipeline genuinely converts into serial production, Kendrion can become more valuable independently.
Precisely if that happens, the company simultaneously becomes more attractive to strategic buyers and private equity. Takeover optionality therefore sits on top of a successful stand-alone case rather than serving as a lifeline for a weak business.
What does Kendrion need to prove through the end of 2028?
The first test is organic growth. Industrial Brakes and IAC need to structurally outperform the weaker areas of traditional European industry. The strategic growth target of 5–8% per year provides a clear benchmark.
The second test is project conversion. The doubled pipeline at Industrial Brakes and record number of customer projects at IAC need to become visible in design wins and subsequently serial production.
The third test is margin. The EBITDA margin needs to remain sustainably within the 15–18% range and ideally move towards the upper end as new projects scale.
The fourth test is ROIC. A return around 25% is attractive but needs to be confirmed over several years. Remaining structurally above 20% while simultaneously investing in growth would provide a strong argument for a higher valuation.
The fifth test is cash conversion. Earnings need to become actual free cash flow. The €25.6 million generated in 2025 provides a good foundation, but it must not prove to have been a one-off peak.
Ultimately, Kendrion also needs to provide greater clarity on how much robotics, automation, safety, medical technology and electrification actually contribute to orders and revenue. The technology stories are interesting, but eventually they have to become financially visible.
What would change our view?
The positive investment case would become clearly weaker if the EBITDA margin structurally fell below 15%, ROIC moved back towards historical levels or Industrial Brakes and IAC failed to deliver sufficient organic growth despite attractive end markets.
A pipeline that does not convert sufficiently into serial production would also be an important warning signal. Robotics cannot remain a marketing label; new products ultimately have to generate orders and revenue.
We would also become more critical if the stronger balance sheet were used for a major acquisition offering a low expected return. Capital discipline is precisely one of the most important improvements in the story.
Finally, commoditisation remains a material risk. If Chinese competitors can increasingly produce high-quality brakes, actuators and controls at lower prices and Kendrion fails to maintain sufficient differentiation through reliability, certification, IP and engineering, a growing robotics market could still coincide with pressure on margins.
Conclusion
Following the restructuring, Kendrion has become a financially stronger and strategically more interesting industrial technology company precisely as robotics, automation, electrification and Physical AI can increase the value of motion, control and safety.
With substantially improved margins, ROIC around 25%, sharply lower debt and a growing project pipeline, the stand-alone case has clearly become more attractive, while a strategic acquisition, private-equity take-private or later break-up of Industrial Brakes and IAC provides interesting additional optionality.
For patient investors, we therefore see a potential long-term buying opportunity, but only if Kendrion demonstrates over the coming years that the improvement in quality is structural and that its new technology actually converts into revenue and free cash flow.
