Investment view

■ Prysmian verwacht ongeveer $150 miljoen jaarlijkse EBITDA-synergieën binnen drie jaar.
Waarom Atkore strategisch belangrijk is
Electrification is binnen TKH zo’n activiteit.
Wij zouden TKH daarom speculatief positief benaderen.

TKH Group: Prysmian’s Atkore acquisition can fuel speculation around Electrification
No time to read the full article? Use the five bullets below for the key points.
■ Prysmian is acquiring US-based Atkore for $95 per share in cash, implying an enterprise value of about $3.8 billion.
■ The deal confirms that Prysmian is willing to pursue large transactions in electrical infrastructure.
■ This can fuel speculation around TKH Group, but it remains speculation and not confirmed takeover news.
■ Prysmian is mainly looking at acquisitions in the US, making a direct TKH deal less obvious as a base case.
■ Our Investment view on TKH Group is speculatively positive, mainly because of the potential value crystallisation of Electrification.
Prysmian reached a definitive agreement on Monday, 3 August 2026, to acquire Atkore. The Italian cable producer will pay $95 per share in cash. This gives Atkore an enterprise value of about $3.8 billion, or roughly €3.3 billion. Atkore is active in cable protection systems, cable trays, conduits, frames and other products for electrical infrastructure.
Investment view
Our Investment view on TKH Group is speculatively positive. Not because there is evidence that Prysmian is preparing a bid for TKH Group or Electrification, but because the Atkore acquisition again highlights the strategic value of electrical infrastructure.
The core of the TKH case is Electrification. TKH is working on separating this division and is running a dual-track process. This means both a sale and a separate listing are possible. That makes Electrification far more visible from a valuation perspective than if it remained fully embedded within the group.
For investors, this matters. With Atkore, Prysmian shows that it is willing to allocate capital to broaden its electrical infrastructure exposure. Atkore is not a classic cable producer, but supplies products linked to data centers, utilities, industrial construction, renewable energy and transport. Prysmian is therefore not only buying revenue, but a broader position in the electrification chain.
That is exactly why TKH Group can enter the speculation. TKH’s Electrification division is active in onshore and offshore energy cables and fits more naturally with cable and infrastructure players than with TKH’s future focus on Automation. The industrial logic is therefore present.
At the same time, the nuance must be clear. This is pure speculation. There are no indications that Prysmian is preparing a bid or holding talks with TKH. In addition, Prysmian is mainly focused on acquisitions in the US. That makes a direct move toward TKH less obvious. But less obvious does not mean impossible. If a high-quality European cable activity becomes available through a dual-track process, it can still attract strategic interest.
For TKH, this means a possible takeover premium should not be the foundation of the case. The foundation remains value crystallisation of Electrification and the focus on Automation. The Atkore deal can accelerate that valuation discussion and add a speculative layer to the stock.
Extra points
■ Prysmian is paying $95 per share for Atkore.
■ The enterprise value is about $3.8 billion.
■ That equals roughly €3.3 billion.
■ The offer is about 23% above the volume-weighted average price over the previous ninety trading days.
■ Atkore generated 2025 revenue of $2.85 billion.
■ Atkore generated 2025 EBITDA of $386 million.
■ Prysmian expects about $150 million of annual EBITDA synergies within three years.
■ Including synergies, Prysmian is paying about 7.1 times 2025 EBITDA.
■ TKH wants to separate Electrification through a dual-track process.
■ A sale of Electrification is more logical than a full takeover of TKH Group.
Numbers and outlook
Prysmian is acquiring Atkore for $95 per share in cash. The enterprise value is about $3.8 billion, or roughly €3.3 billion. The offer is about 23% above Atkore’s volume-weighted average share price over the previous ninety trading days.
Atkore generated 2025 revenue of $2.85 billion and EBITDA of $386 million. Prysmian expects to generate about $150 million of annual EBITDA synergies within three years. Including those synergies, the purchase price equals about 7.1 times 2025 EBITDA.
The financing consists of a combination of debt, hybrid bonds and equity. Prysmian aims to maintain its investment-grade credit profile. The acquisition is expected to contribute high single digits to earnings per share in the first full year, excluding synergies. After synergies, the contribution should become double-digit.
For TKH, the most relevant figures are within Electrification. Revenue in this division grew organically by 15.5% in 2025 to €728.8 million. The order book increased to €516.5 million, partly driven by new orders for offshore inter-array cables. TKH also has a multi-year framework contract with Alliander worth about €650 million.
Why Atkore is strategically important
The Atkore acquisition shows that Prysmian wants to broaden its position.
Prysmian is not buying a pure cable activity. Atkore supplies products used around electrical infrastructure: cable protection, cable trays, conduits, frames and other supporting systems. These activities are closer to full infrastructure solutions than cable production alone.
That fits the direction of the market. Electrification requires not only cables, but also installation, protection, distribution, network components and system solutions. Data centers, industrial construction, utilities, renewable energy and transport all require reliable electrical infrastructure.
This is why Atkore is strategically more important than revenue and EBITDA alone. The deal shows that Prysmian is willing to pay for broader control over the infrastructure chain. That is the read-through to TKH Electrification.
Why TKH Electrification can enter the picture
Electrification is the part of TKH that best fits the logic behind the Atkore deal.
The division is active in onshore and offshore energy cables. This links directly to grid expansion, electrification, offshore wind, inter-array cables and energy infrastructure. These are markets where large cable players have strategic interest.
TKH ultimately wants to focus fully on Automation. Electrification will therefore no longer be the core of the future group. A sale or separate listing is intended to make value visible that may currently not be fully reflected in the share price.
For a company like Prysmian, Electrification would be the most interesting part. The division fits cables and electrical infrastructure. TKH’s other businesses, such as machine vision and tire-building machinery, are far less obvious for Prysmian.
That is why the most rational speculation is not that Prysmian wants to buy all of TKH Group. The most rational speculation is that Electrification can attract interest from strategic buyers.
Why this remains pure speculation
This point must be stated clearly.
There is no evidence that Prysmian is preparing a bid for TKH Group. There is also no evidence that Prysmian is talking to TKH about Electrification. The link between Atkore and TKH is therefore not a news fact, but a strategic argument.
In addition, Prysmian has mainly indicated that it wants to look at acquisitions in the US. This makes TKH not the most obvious next step. After Atkore, Prysmian may also need time for integration, financing and balance sheet discipline.
But that does not mean TKH or parts of TKH are out of the picture. A formal or informal sale process around Electrification can attract strategic buyers, even if those buyers are primarily focused on other regions. Good assets get reviewed when they become available.
The right conclusion is therefore: TKH is not a confirmed takeover target, but Electrification is strategically relevant enough to justify speculation.
Why a full takeover is less logical
A full takeover of TKH Group by Prysmian is not the base case.
Prysmian has clear industrial synergy with cables and electrical infrastructure. That synergy is in Electrification. TKH’s Automation activities fit far less directly. Machine vision, smart manufacturing and tire-building machinery are strategically interesting businesses, but not obvious for a cable producer.
A buyer that mainly wants Electrification would therefore rather buy that specific division than the whole group. That is simpler, more focused and less risky.
Still, a full takeover cannot be fully ruled out. In theory, a buyer could acquire the whole group and then sell or separate the non-core activities. That is more complex and less likely, but not impossible if the strategic value of Electrification is considered high enough.
For investors, the sum-of-the-parts approach is therefore more important than simple takeover speculation. The key question is how much value Electrification can represent on a standalone basis or in the hands of a strategic buyer.
What this means for TKH Group
For TKH Group, the Atkore deal is mainly a valuation signal.
Prysmian shows that electrical infrastructure assets have strategic value. When a large player is willing to pay a firm price for Atkore, the market may take another look at the value of comparable or adjacent assets.
Electrification is such an asset within TKH. It has growth, order book visibility, exposure to grid expansion and offshore energy, and a clearer strategic profile once separated. This can accelerate the valuation debate around TKH.
The share price impact does not need to come from a concrete bid. It can also come from investors assigning a higher value to Electrification in a sum-of-the-parts analysis. That is more realistic and professional than assuming an immediate takeover.
Positive catalysts
■ Prysmian confirms its strategic acquisition appetite.
■ Atkore shows that electrical infrastructure is valued attractively.
■ TKH is working on the separation of Electrification.
■ Electrification has a clear fit with cable and energy infrastructure.
■ The division has shown growth.
■ The order book provides visibility.
■ The Alliander contract underlines the strategic position in energy networks.
■ A dual-track process can activate strategic buyers.
■ A higher sum-of-the-parts value can support the share price.
■ New updates on Electrification can strengthen speculation.
Negative catalysts
■ There is no evidence of concrete Prysmian interest in TKH.
■ Prysmian is mainly looking at acquisitions in the US.
■ After Atkore, Prysmian may first focus on integration and balance sheet discipline.
■ A full takeover of TKH is less strategically logical.
■ Electrification may also be listed rather than sold.
■ A sale at a lower multiple would disappoint.
■ Speculation can fade without new signals.
■ Automation must convince independently after the separation.
■ Sector valuations can decline if market sentiment worsens.
■ Takeover speculation should not be the only basis for the stock.
Strategy for the stock
TKH Group becomes more interesting because of the valuation discussion around Electrification.
The Atkore deal does not directly change TKH’s numbers. It does change the context. Large cable and infrastructure players remain willing to use capital for strategic strengthening. This makes the planned separation of Electrification more relevant.
We would therefore approach TKH as speculatively positive. The position should not be built on the assumption that Prysmian will make a bid. It should be built on the view that Electrification can unlock value through a sale, separate listing or higher sum-of-the-parts valuation.
The best trigger is news on the dual-track process. The more concrete that process becomes, the more likely investors are to assign a higher value to the division. Prysmian is one possible name in the speculation, but not the only logical party. Other cable players or infrastructure buyers may also look at Electrification.
The strategy is therefore to remain positive on TKH from a value crystallisation perspective, while clearly recognizing that the takeover component is speculative.
Conclusion
Prysmian’s acquisition of Atkore can fuel speculation around TKH Group, especially around Electrification. The industrial logic is present because Prysmian is broadening its position in electrical infrastructure and TKH Electrification fits that theme.
Our Investment view on TKH Group is speculatively positive. There is no evidence of a bid, Prysmian is mainly focused on the US and a full takeover of TKH is not the most logical scenario. But Electrification is strategically relevant and can make value visible through the dual-track process.
This news is therefore positive for the valuation debate around TKH. Not as confirmed takeover news, but as an additional catalyst for the sum-of-the-parts value.
