Syensqo kan een belangrijke stap zetten in de verdere vereenvoudiging van zijn portfolio. Performance & Care staat sinds mei onder strategische review en volgens Bloomberg hebben verschillende grote private equity partijen belangstelling. Een mogelijke waardering van ongeveer €3 miljard wordt genoemd, wat duidelijk hoger ligt dan sommige eerdere externe taxaties.
Dat maakt de ontwikkeling interessant voor aandeelhouders. Wanneer Syensqo daadwerkelijk rond dat bedrag kan verkopen, krijgt de markt een concrete externe waardering voor een divisie die tot nu toe onderdeel was van een bredere groep. Tegelijkertijd ontstaat een forse kasinstroom die de financiële slagkracht van het resterende bedrijf aanzienlijk vergroot.
Investment view
Wij zien de ontwikkeling vooral als tijdelijk positief voor het aandeel. Een verkoop rond €3 miljard kan de koers op korte termijn duidelijk ondersteunen, omdat daarmee een aantrekkelijke waardering voor Performance & Care zichtbaar wordt en Syensqo tegelijkertijd aanzienlijke financiële ruimte krijgt.
Dat betekent niet dat wij automatisch structureel positiever worden op het aandeel. Performance & Care levert nog altijd een betekenisvolle bijdrage aan de winst en kasstroom van Syensqo. De uiteindelijke beoordeling hangt daarom niet alleen af van de verkoopprijs, maar ook van wat het management daarna met de opbrengst doet.
Een sterke verkoopprijs kan dus voor een duidelijke koersimpuls zorgen. Voor een duurzame herwaardering is vervolgens nodig dat Syensqo de opbrengst verstandig inzet en het resterende bedrijf aantoonbaar aantrekkelijker wordt.
€3 miljard zou een sterke prijs zijn
Performance & Care realiseerde in 2025 ongeveer €2 miljard omzet en €358 miljoen EBITDA. Een waardering van €3 miljard betekent daarmee een multiple van circa 8,4 keer EBITDA.
Dat is niet extreem, maar wel duidelijk aantrekkelijker dan waarderingen van ongeveer €2 miljard tot €2,5 miljard die eerder voor de divisie circuleerden. Juist dat verschil kan belangrijk worden voor de beurskoers.
Wanneer een externe koper bereid is een hogere prijs te betalen dan beleggers tot nu toe impliciet in Syensqo verwerkten, wordt zichtbaar dat de som der delen mogelijk meer waard is dan de huidige beurswaardering suggereert. Dat kan ook de waardering van de resterende activiteiten opnieuw ter discussie stellen.
De strategische logica is helder
Performance & Care past minder goed bij de richting waarin CEO Mike Radossich Syensqo wil ontwikkelen. De onderneming wil zich sterker richten op specialty materials en advanced technologies, met activiteiten waarin technologische differentiatie en structurele groei een grotere rol spelen.
Daaronder vallen markten zoals aerospace, semiconductors, healthcare, energy en advanced mobility. Na een verkoop zou het aandeel van deze activiteiten binnen de groep duidelijk toenemen.
Dat maakt Syensqo eenvoudiger te analyseren. Het resterende bedrijf krijgt een scherper profiel en minder blootstelling aan activiteiten die meer op traditionele specialty chemicals lijken. Wanneer de groei en marges van de overblijvende divisies sterk genoeg zijn, kan dat op langere termijn helpen bij een hogere waarderingsmultiple.
Syensqo verkoopt niet vanuit een zwakke positie
Ook de timing werkt in het voordeel van Syensqo. De onderneming hoeft Performance & Care niet te verkopen om acute financiële problemen op te lossen.
De operationele ontwikkeling is juist verbeterd. In het tweede kwartaal groeide de omzet organisch met 5%, kwam de brutomarge uit op 34% en bedroeg de onderliggende EBITDA €311 miljoen. Het management rekent voor 2026 inmiddels op minimaal €1,1 miljard onderliggende EBITDA.
Dat geeft Syensqo ruimte om selectief te zijn. Het bedrijf hoeft niet akkoord te gaan met een zwakke bieding en kan wachten op een prijs die beter aansluit bij de waarde van de activiteiten.
Dat is belangrijk, omdat de volledige investeringscase rond de verkoop valt of staat met de multiple die uiteindelijk wordt gerealiseerd.
De opbrengst kan veel financiële ruimte creëren
Een verkoop rond €3 miljard zou groot zijn ten opzichte van de omvang van Syensqo. Daardoor krijgt de kapitaalallocatie na de transactie veel gewicht.
Schuldreductie kan de balans verder versterken en de rentelasten verlagen. Aandeleninkoop kan aantrekkelijk zijn wanneer het aandeel na de transactie nog steeds laag gewaardeerd blijft. Daarnaast kan Syensqo investeren in groeiactiviteiten of gerichte acquisities doen binnen markten waar het een sterkere strategische positie wil opbouwen.
Daar zit meteen ook het grootste risico. Een goede verkoop kan snel zijn waarde verliezen wanneer de opbrengst wordt gebruikt voor dure acquisities of projecten met een zwak rendement.
Wij willen daarom niet alleen weten hoeveel Syensqo ontvangt, maar vooral hoe iedere euro daarna wordt ingezet.
Waarom de koers duidelijk kan reageren
De aantrekkelijkheid voor de korte termijn zit vooral in de combinatie van drie effecten. Er komt een concrete waardering voor Performance & Care, er ontstaat een grote kaspositie en het resterende Syensqo krijgt een eenvoudiger strategisch profiel.
Die combinatie kan een relatief snelle herwaardering veroorzaken. Beleggers die tot nu toe een korting toepassen vanwege de brede mix van activiteiten krijgen meer duidelijkheid over de waarde van afzonderlijke onderdelen.
Daarom denken wij dat een definitieve transactie rond €3 miljard de koers tijdelijk stevig kan ondersteunen.
Dat hoeft echter niet te betekenen dat de koers daarna structureel blijft doorstijgen. Zodra de eerste reactie is verwerkt, gaat de markt opnieuw kijken naar de winstcapaciteit van het resterende bedrijf en naar het rendement dat Syensqo op de verkoopopbrengst weet te realiseren.
De verkoop heeft ook een prijs
Performance & Care is geen verlieslatende activiteit die zonder economische gevolgen kan worden afgestoten. Met €358 miljoen EBITDA levert de divisie een belangrijk deel van de groepswinst.
Na een verkoop ontvangt Syensqo veel cash, maar verdwijnt die winstbijdrage uit de resultaten. De transactie moet daarom worden beoordeeld op basis van de verhouding tussen verkoopprijs en verloren toekomstige winst.
Wanneer Syensqo een volwassen activiteit tegen een sterke multiple verkoopt en het vrijgekomen kapitaal vervolgens inzet in activiteiten met hogere groei en rendementen, kan dat aantrekkelijk zijn.
Wanneer de opbrengst laag uitvalt of slecht wordt herbelegd, verdwijnt een belangrijk deel van de strategische logica.
Het resterende Syensqo kan aantrekkelijker worden
De grotere potentiële waarde zit uiteindelijk in de kwaliteit van de onderneming die na de verkoop overblijft. Syensqo zou sterker worden blootgesteld aan hoogwaardige materialen en technologische toepassingen met hogere toetredingsdrempels.
Denk daarbij aan luchtvaart, halfgeleiders, geavanceerde mobiliteit en andere toepassingen waar kwalificatieprocessen, materiaalprestaties en langdurige klantrelaties belangrijk zijn. Zulke activiteiten kunnen structureel aantrekkelijker zijn dan meer volwassen chemische markten.
Wanneer Syensqo daarnaast zijn marges en kasstromen verder verbetert, kan de markt het bedrijf steeds meer als een gespecialiseerde materialentechnologie onderneming waarderen in plaats van als een brede chemiegroep.
Dat is de structurele kans. De mogelijke verkoop zelf is vooral de eerste stap.
Belangrijkste risico's
■ De genoemde €3 miljard is nog geen definitief bod en de uiteindelijke verkoopprijs kan lager uitvallen.
■ De strategische review hoeft niet noodzakelijk tot een transactie te leiden.

■ Een dure acquisitie na de verkoop kan een groot deel van het voordeel weer tenietdoen.
■ Een sterke eerste koersreactie kan tijdelijk blijken wanneer de markt daarna meer aandacht krijgt voor de kleinere winstbasis van het resterende bedrijf.
Conclusie
Een verkoop van Performance & Care rond €3 miljard zou naar onze mening tijdelijk duidelijk positief zijn voor Syensqo en kan het aandeel stevig ondersteunen. De transactie zou verborgen waarde zichtbaar maken en het bedrijf veel financiële ruimte geven.
Voor een duurzame herwaardering is echter meer nodig. De uiteindelijke verkoopprijs moet sterk zijn en Syensqo moet vervolgens aantonen dat het de opbrengst beter kan laten renderen dan de winst die met Performance & Care wordt afgestoten.

We view the development primarily as temporarily positive for the shares. A sale around €3 billion could support the stock in the short term because it would crystallize an attractive value for Performance & Care while also providing Syensqo with substantial financial flexibility.
That does not automatically make us structurally more positive on the stock. Performance & Care still contributes meaningfully to earnings and cash generation. The final assessment therefore depends not only on the sale price but also on how management subsequently deploys the proceeds.
A strong transaction could trigger a clear share-price boost. A lasting rerating will require Syensqo to allocate the capital well and demonstrate that the remaining company is strategically stronger.
€3 billion would represent an attractive price
Performance & Care generated approximately €2 billion in revenue and €358 million in EBITDA in 2025. A €3 billion valuation therefore implies roughly 8.4 times EBITDA.
That is not an extreme multiple, but it is clearly above the €2 billion to €2.5 billion valuations previously discussed for the division. That difference could matter for the shares.
If an external buyer is willing to pay more than investors have implicitly been assigning to the business, it suggests that the sum of Syensqo's parts may be worth more than the current market value indicates. Investors could then also revisit the valuation of the remaining operations.
The strategic logic is clear
Performance & Care fits less naturally with the direction in which CEO Mike Radossich wants to take Syensqo. The company wants greater exposure to specialty materials and advanced technologies where differentiation and structural growth are more important.
These include aerospace, semiconductors, healthcare, energy and advanced mobility. Following a sale, these businesses would represent a substantially larger share of the group.
That would make Syensqo easier to analyze and give the company a clearer strategic identity. If the remaining businesses can sustain stronger growth and margins, the market may eventually assign them a higher valuation multiple.
Syensqo is not selling from a position of weakness
The timing also helps Syensqo. The company does not need to sell Performance & Care to address financial distress.
Operating performance has actually improved. Second-quarter organic revenue grew by 5%, gross margin reached 34% and underlying EBITDA came in at €311 million. Management now expects at least €1.1 billion in underlying EBITDA for 2026.
That gives Syensqo the ability to be selective. It does not need to accept a weak bid and can wait for a price that better reflects the value of the business.
That matters because the investment case around the transaction ultimately depends on the multiple achieved.
The proceeds could create substantial financial flexibility
A transaction around €3 billion would be significant relative to Syensqo's size, making post-deal capital allocation highly important.
Debt reduction could strengthen the balance sheet and lower financing costs. Share repurchases could be attractive if the shares remain undervalued. Syensqo could also invest in its growth businesses or pursue targeted acquisitions in areas where it wants to build a stronger strategic position.
This is also where the main risk lies. A good disposal can quickly lose value if the proceeds are spent on expensive acquisitions or projects with poor returns.
We therefore care not only about how much Syensqo receives, but also about how every euro is ultimately deployed.
Why the shares could react clearly
The short-term attraction lies in the combination of three effects. Investors would receive a concrete valuation for Performance & Care, Syensqo would gain a large cash position and the remaining group would have a simpler strategic profile.
That combination can trigger a relatively fast rerating. Investors who currently apply a discount because of the broad portfolio mix would gain greater clarity about the value of individual assets.
We therefore believe that a definitive transaction near €3 billion could temporarily provide meaningful support to the shares.
That does not mean the stock will necessarily continue higher indefinitely. Once the initial reaction has passed, investors will refocus on the earnings power of the remaining business and the returns Syensqo generates on the sale proceeds.
The sale also comes with a cost
Performance & Care is not a loss-making activity that can be removed without economic consequences. With €358 million of EBITDA, it contributes meaningfully to group earnings.
After a sale, Syensqo would receive a large amount of cash but would also lose that recurring profit contribution. The transaction therefore needs to be assessed relative to the earnings stream being sold.
If Syensqo disposes of a mature business at an attractive multiple and reallocates the capital into faster-growing, higher-return activities, the economics can be compelling.
If the sale price is weak or the proceeds are poorly reinvested, much of the strategic logic disappears.
The remaining Syensqo could become more attractive
The larger long-term opportunity lies in the quality of the company that remains after the transaction. Syensqo would have greater exposure to high-value materials and technology-intensive applications with stronger barriers to entry.
These include aerospace, semiconductors, advanced mobility and other markets where qualification processes, material performance and long-term customer relationships matter.
If Syensqo can also continue improving margins and cash generation, investors may increasingly value it as a specialized materials technology company rather than a broad chemicals group.
That is the structural opportunity. The potential sale itself is only the first step.
