■ Wij blijven duidelijk negatief.

Investment view

Wij blijven duidelijk negatief over NX Filtration.

Wij blijven daarom negatief.

NX Filtration: headline growth masks a much weaker financial picture

No time to read the full article? These are the key points:
■ NX Filtration reports 26% growth in total revenues versus H2 2024, but growth versus H1 2024 is only 12%. The two operating business lines combined are growing by only around 8.6%.
■ Almost one-third of the absolute year-on-year growth in total revenues comes from other income. This item increased from €424,000 to €643,000, while the company does not provide sufficient detail on exactly what these revenues consist of.
■ EBITDA loss deteriorated by approximately 28%, from €6.4 million to €8.2 million. Despite higher revenue, the company is therefore not moving closer to operating profitability.
■ Net loss increased by more than 50%, from €8.3 million to €12.7 million. That is almost twice the entire half-year revenue base of €6.56 million.
■ Net cash declined by more than 28% in six months, from €53.4 million to €38.3 million, even as major investment in the new factory fell sharply.
■ Of the 175 OEMs in the HFNF funnel, 116 are still in the testing phase. Only 36 are already using the technology in full-scale projects. The funnel is therefore clearly not an order book.
■ The 60.1% gross margin is strong, but on the current revenue base it is insufficiently meaningful because the absolute gross profit remains far too small to support the cost structure.
■ We remain clearly negative. Investors may initially buy back into the growth story and push the shares higher, but we would use such a rally as a selling opportunity.

Introduction

NX Filtration presents its half-year results with an attractive narrative: 26% growth in total revenues, a 60.1% gross margin, new OEM relationships, recognised customer names and guidance still calling for 50% to 70% growth for full-year 2025. At first glance, that appears to be exactly the evidence investors have been waiting for, but once the numbers are broken down the picture becomes much weaker.

Actual growth in the two operating business lines falls materially short of the headline, a notable portion of growth comes from other income, operating losses continue to widen and the cash position is falling sharply again. For us, this is not evidence that the business model is finally scaling. It shows how much still needs to happen before NX Filtration can stand financially on its own.

Investment view

We remain clearly negative on NX Filtration. The shares could initially rise because 26% growth, a 60.1% gross margin and guidance for 50% to 70% growth sound attractive. We would use such a move as an opportunity to sell because the underlying financial development remains unconvincing.

The issue is not that NX Filtration lacks interesting technology or that there is no commercial progress at all. The problem is that after years of pilots, OEM funnels and promised commercial conversion, the company still does not generate enough revenue to support its cost structure. The new factory has been built, depreciation is running, the organisation costs money and financial losses remain substantial. What is still missing is the scale required to pay for all of it.

We are also uncomfortable with the way revenue growth is presented through total revenues. This measure includes not only sales within Clean Municipal Water and Sustainable Industrial Water but also other income. For a company that still needs to prove commercial adoption of its core technology, investors should be able to see clearly how much growth comes from actual product sales. We do not think the disclosure is sufficiently transparent.

The numbers undermine the optimistic narrative

The strongest criticism is simply in the arithmetic. NX Filtration reports €6.56 million of total revenues, 12% above H1 2024. The much more attractive 26% headline comes from comparing the result with H2 2024. For serious analysis, we consider the comparison with the same period last year more relevant because it provides a cleaner indication of structural development.

Even the 12% year-on-year growth rate overstates the commercial core. Sustainable Industrial Water increased from approximately €2.75 million to €3.09 million, while Clean Municipal Water rose from around €2.71 million to €2.83 million. Combined, the two operating business lines therefore grew from approximately €5.45 million to €5.92 million, equivalent to around 8.6% growth.

For a company whose valuation depends on very high future growth expectations, we do not consider that convincing. The headline says 26%, but the actual growth of the two operating business lines remains below 10%.

Almost one-third of growth comes from other income

Other income increased from €424,000 to €643,000, an increase of more than 50%. The total year-on-year increase in total revenues was approximately €686,000, of which roughly €219,000 came from other income. That means around 32% of the absolute year-on-year growth in total revenues came from this single category.

This is not a minor detail. NX Filtration does not provide enough detail in the half-year report on the exact composition of the €643,000. As a result, investors cannot properly assess how much of this income is recurring, commercially scalable or directly related to membrane sales.

We are not suggesting improper accounting. We are saying that the quality of disclosure is insufficient. When management places total revenues at the centre of its growth communication while an increasing share comes from an inadequately disclosed category, it becomes harder to assess the true commercial development of the business.

The 60.1% gross margin sounds better than it is economically

The gross margin is undoubtedly strong. A margin of 60.1% suggests that the products can be attractive at unit level and that substantial operating leverage could theoretically emerge if the factory is ever utilised at scale.

But a high percentage margin on a very small revenue base solves nothing. Against €6.56 million of total revenues, NX Filtration reports an EBITDA loss of €8.21 million. The company therefore loses more before interest, tax and depreciation than it generates in total revenues over the entire half-year period.

That is the hard reality behind the attractive gross margin. NX Filtration does not need a few percentage points of additional sales. It needs several times the current revenue base before the existing organisation, factory and development costs can be economically supported.

EBITDA loss deteriorates by around 28%

The EBITDA loss widened from €6.4 million to €8.2 million, approximately 28% worse than a year earlier. Management points to inventory movements and notes that lower inventory levels were positive for cash, which is a relevant explanation for the reported EBITDA effect.

For shareholders, however, the larger problem remains. A company that is supposedly moving closer to commercial scale should eventually show rising revenues translating into smaller operating losses. Here the opposite is happening: revenue is increasing, but EBITDA losses are becoming larger.

Net loss rises by more than 50%

At the bottom of the income statement, the picture is even weaker. Net loss increased from €8.3 million to €12.7 million, a deterioration of more than 50%. Higher depreciation on the new factory is an important reason, but that actually makes the economic problem more visible.

NX Filtration has already built the infrastructure required for much larger future volumes and the costs of that infrastructure are now flowing through the income statement, while the promised commercial scale still largely needs to materialise. The company is therefore already carrying the costs of scale before the revenue of scale has arrived.

If commercial growth eventually accelerates sharply, the factory could create powerful operating leverage. As long as volumes remain insufficient, that leverage works in the opposite direction.

Net loss is almost twice revenue

This may be the most confronting number of all. NX Filtration generated €6.56 million of total revenues while reporting a net loss of €12.75 million. The company therefore lost almost €2 for every €1 of reported revenue.

That puts all the other figures into perspective. A 60.1% gross margin, attractive sustainability claims and a growing OEM funnel ultimately matter less than whether the business model can function financially. At present, the answer is clear: not yet.

Net cash declines by more than 28%

The balance-sheet development is also concerning. Net cash fell from €53.4 million at the end of 2024 to €38.3 million at the end of June. Approximately €15.1 million disappeared in six months, more than 28% of the opening position.

This is particularly relevant because the major investment phase around the new factory is ending. Capex declined from €18.6 million in H1 2024 to only €4.4 million in H1 2025, while NX Filtration expects approximately €7 million of capex for the full year.

Lower future investment is positive, but it also makes clear that the falling cash position can no longer be explained solely by factory construction. Operating losses continue to consume substantial cash.

Lower headcount, but losses are still increasing

NX Filtration has reduced its workforce from 169 employees at the end of 2024 to 154 at the end of June, a reduction of almost 9%. Cost control is sensible, but there is an uncomfortable contradiction here as well.

Despite fewer employees and cost measures, the reported EBITDA loss deteriorated. That shows NX Filtration does not simply have a cost problem; it primarily has a revenue problem. A company with a new factory, an international commercial organisation and ongoing development activities cannot reach break-even through cost cutting alone. Sales need to grow much faster.

The factory now needs to be filled

The new factory is therefore the central issue in the investment case. NX Filtration has built production capacity for a market that management clearly expects to become much larger. That could create enormous upside if customers convert rapidly into commercial orders because much of the capacity is already in place and incremental revenue could then flow more quickly to the bottom line.

But the same factory becomes a problem when commercial conversion is too slow. Capacity then remains underutilised while depreciation, maintenance and other fixed costs continue.

A factory does not create value simply because it exists. It creates value only when customers actually fill its capacity.

175 OEMs sound much more impressive than the reality

NX Filtration highlights an HFNF funnel of 175 OEMs, up from 160 at year-end. That sounds strong and demonstrates global interest in the technology, but only 36 of those 175 OEMs are actually using the technology in full-scale projects. Another 23 are in project development, while the remaining 116 are still testing.

More than two-thirds of the funnel therefore remains in the testing phase. That is not irrelevant, but it is not revenue either. A test can lead to a large contract, but it can also take years or fail to convert altogether. We therefore do not think the size of the funnel should be treated as if it had the same quality as an order book.

Only around one in five OEMs is already at full scale

Of the 175 OEMs, 36 are already using HFNF modules in full-scale projects. That is approximately 21%. This is meaningful because it proves the technology can be commercially deployed, but it also shows how much conversion still needs to take place before the impressive-looking funnel translates into significant volumes.

After years in which pilots and testing have been central to the story, we now want to see how quickly those 116 testing OEMs move into project development and ultimately full-scale deployment. That is the real commercial KPI.

Big names are good, but revenue is better

NX Filtration can now point to names such as Veolia, Thermax, Nijhuis Saur Industries, Ekopak, Carlsberg and AB InBev. The repeat order for the expansion of the large Mexican installation is also positive.

These are genuine commercial achievements, but recognised names should not replace financial results in the analysis of a listed company. A test with a multinational sounds good but creates little shareholder value unless it develops into substantial and recurring revenue.

A first order is positive, a repeat order is stronger, but the real investment case begins only when such customers collectively generate tens of millions of euros in structural revenue and the factory reaches economically attractive utilisation levels.

The 50% to 70% outlook still needs to be delivered

Management continues to target 50% to 70% growth in total revenues for full-year 2025. Over the longer term, it even talks about average annual revenue growth above 50% while maintaining strong gross margins.

If NX Filtration actually delivers this, the investment case could change quickly. But two qualifications are essential. First, the outlook again refers to total revenues and therefore not exclusively to revenue from the two operating business lines. Second, the company remains heavily dependent on project awards, customer decisions, timing, delays and possible cancellations.

These are not minor uncertainties around the forecast. They are the factors on which the entire financial model depends.

Cash runway therefore remains a risk

Management expects the current cash position to be sufficient to fund its growth ambitions for some time. That scenario is possible if revenue genuinely accelerates and the EBITDA loss then falls rapidly.

If commercial conversion disappoints again, however, the equation becomes less comfortable. With net cash of €38.3 million and losses that remain very high relative to revenue, the financial runway could change quickly.

We are not arguing that NX Filtration immediately needs new capital. We are arguing that investors cannot assess the cash position separately from the fact that the business remains far from break-even.

Good technology is not the same as a good stock

NX Filtration may have excellent technology. Its membranes may offer real benefits in removing PFAS, pharmaceuticals, micropollutants, bacteria and nanoplastics. Lower energy and chemical use may be attractive, while the structural global need for better water treatment is beyond dispute.

But investors are not buying a technology demonstration. They are buying a company, and that company ultimately needs to generate sufficient revenue, cover its costs, become profitable and produce free cash flow.

NX Filtration has still not proven that it can make that transition.

Conclusion

NX Filtration's headline is much stronger than the underlying numbers. The actual business lines are growing by around 8.6%, almost one-third of year-on-year growth comes from other income, EBITDA loss deteriorates by roughly 28%, net loss rises by more than 50% and that net loss is almost twice total revenue.

We therefore remain negative. Investors may initially respond positively to the results, but we would use strength in the shares as a selling opportunity. NX Filtration now needs to stop promising that scale is coming and finally demonstrate that scale in revenue, earnings and cash flow.
