Compounding Services daalt daarentegen 12,9%.

2027 krijgt drie afzonderlijke groeibruggen

English version

Fagron: strong Q3 mix improves the 2027 setup and could support further share-price upside

■ Fagron reported Q3 revenue of €281.3 million, representing 23.2% reported growth and 19.5% growth at constant exchange rates. The headline growth is impressive, but the key nuance is that organic growth at constant exchange rates was 3.4%. The quarter therefore does not represent an extraordinary acceleration in underlying group growth, but rather a combination of healthy organic development, acquisitions and an increasingly diversified geographic platform.
■ Headline revenue was almost exactly in line with the pre-reported analyst consensus of €281.5 million. The positive surprise is therefore not a large revenue beat but the mix: EMEA and Latin America performed better than expected, while weakness in North America-Pacific remained concentrated in Compounding Services rather than indicating a broad deterioration in the US franchise. Consensus stood at €110.5 million for EMEA, €65.3 million for Latin America and €105.7 million for North America-Pacific, versus actual revenue of €113.1 million, €69.0 million and €99.2 million respectively.
■ The most important operating signal comes from North America-Pacific. The region declined 2.8% organically at constant exchange rates, but that figure contains two completely different trends: Essentials grew 28.8% organically and Brands 16.1%, while Compounding Services fell 12.9% because of the IV bag disruption. Fagron says supply has now stabilised and expects volumes to recover progressively through Q4. We therefore view current regional weakness more as potential 2027 recovery upside than as evidence of structurally weaker US demand.
■ Full-year guidance remains unchanged at €1.125–1.150 billion of revenue and an adjusted EBITDA margin of 19.5–20.0%. That is effectively centred on current market expectations and means Fagron is not delivering another guidance upgrade today. The more important potential rerating sits further out: all announced acquisitions have now closed, North American Compounding Services can recover and the Wichita and Las Vegas expansion projects should make additional capacity available.
■ We view the update as clearly positive and believe the shares can move higher if investors begin assigning more value to the 2027 earnings bridge. The risks should not be ignored: acquisitions account for a significant part of the 23.2% reported growth, group Compounding Services remains organically negative, the North American recovery still needs to be delivered and expansion projects require additional capital. Precisely because those weaker areas are clearly identifiable and sit against several tangible recovery and growth drivers, we find the asymmetry increasingly attractive.

Investment View

Fagron's Q3 numbers are strong, but the professional interpretation is more nuanced than the 23.2% headline revenue growth suggests. Total revenue was virtually identical to published analyst consensus. This is therefore not a conventional earnings beat requiring a major upward reset of 2026 estimates. The significance of the update lies primarily in the quality of the regional mix and in whether Fagron has now assembled enough building blocks for a stronger 2027 earnings bridge.

On that basis, we find the update compelling. EMEA grew 6.5% organically at constant exchange rates, Latin America 9.7%, while both Essentials and Brands delivered strong growth in North America-Pacific. The negative regional organic growth in North America-Pacific is overwhelmingly concentrated in Compounding Services, where IV bag availability disrupted volumes. With supply now stabilised, there is a relatively visible recovery bridge if volumes normalise through Q4 and into 2027.

A second layer then emerges. The acquisitions announced over the past period have now closed and can contribute for a full year in 2027, while production capacity is being expanded, particularly in the United States. Fagron therefore does not need to rely solely on the same organic growth rate it delivered in Q3 next year. Volume recovery, full-year M&A contribution and additional capacity can all work simultaneously.

This is why we believe the shares could continue to rise even without a major Q3 consensus beat or an immediate guidance increase. The market can gradually move from a 2026 framework still burdened by temporary North American disruption toward a 2027 framework in which that headwind fades and previous investments begin contributing revenue and operating leverage.

The 23.2% headline is strong, but organic growth tells the more important story

Fagron generated €281.3 million of revenue versus €228.2 million a year earlier. Growth at constant exchange rates was 19.5%, while organic growth at constant exchange rates was 3.4%. Nine-month revenue reached €833.7 million, up 18.4% on a reported basis and 3.2% organically at constant exchange rates.

The gap between reported and organic growth matters. Fagron has actively added businesses and consolidation is contributing substantially to top-line growth. Investors should therefore not extrapolate 23% as a sustainable underlying growth rate.

At the same time, 3.4% organic growth is not weak when one considers that a meaningful part of North American Compounding Services is temporarily affected by an external supply disruption. Underlying breadth outside that issue is significantly stronger than the group-level organic number suggests, making the quality of the quarter better than a simplistic comparison between 23.2% reported and 3.4% organic growth would imply.

The regional mix is stronger than the group number suggests

EMEA generated €113.1 million of revenue, 31.1% above the prior year and 6.5% higher organically at constant exchange rates. Compounding Services was particularly strong with 13.3% organic growth at constant exchange rates, supported by new customer wins and strong demand for key therapies, while Brands grew 7.3% organically.

This matters because EMEA is not merely an acquisition story. The region is showing genuine commercial growth in activities where Fagron can leverage scale, production capacity and customer relationships.

Latin America was even stronger. Revenue increased to €69.0 million and organic growth at constant exchange rates reached 9.7%. Essentials grew 11.9% and Brands 6.9% organically at constant exchange rates. Reported growth of more than 43% was clearly supported by acquisitions and favourable currency movements, but the underlying business remained strong even after stripping those effects out.

This geographic breadth is an important quality indicator. Fagron is not relying on one region for all of its underlying growth. EMEA and Latin America can continue expanding while North America works through a temporary supply issue.

North America-Pacific looks weak in the headline but not in the underlying franchise

North America-Pacific is the most interesting part of the release. Revenue reached €99.2 million and rose 5.7% on a reported basis, but declined 2.8% organically at constant exchange rates. On its own, that looks weak.

The composition changes the interpretation. Essentials grew 28.8% organically at constant exchange rates and Brands 16.1%, while Compounding Services declined 12.9%.

The weakness is therefore highly concentrated. There is no broad evidence that Fagron's US commercial position is deteriorating. Brands & Essentials are actually delivering very strong revenue growth through improved product availability, new customers and a strong underlying US market.

That distinction matters enormously for the 2027 model. A region declining because every activity is weakening deserves a very different valuation from one where a single major business is temporarily constrained while other divisions grow at double-digit rates.

Compounding Services is both the largest risk and the main recovery opportunity

At group level, Compounding Services remains the weakest category. Q3 revenue was €104.7 million, 5.0% higher reported but 5.0% lower organically at constant exchange rates. Over nine months, organic growth at constant exchange rates was negative 4.8%.

That weakness should not be minimised. Compounding Services is strategically important, and US sterile compounding in particular can become a major source of revenue, margin and free cash flow. Continued volume contraction would therefore be a serious issue.

The positive point is that weakness is not broad-based. EMEA Compounding Services grew 13.3% organically at constant exchange rates. The negative group development is largely concentrated in North America, where management cites temporary IV bag supply constraints as the primary cause.

Q4 therefore becomes more important than the Q3 headline. If volumes recover progressively now that supply has stabilised, investors gain evidence that the weakness was temporary. If recovery disappoints, the 2027 thesis needs to be revisited.

The IV bag issue still carries some residual risk

Fagron says IV bag availability has stabilised and expects volumes to move progressively toward normal levels through Q4. That is clearly positive and can remove an important negative comparison from the numbers.

We would nevertheless not remove the issue entirely from the risk framework. US compounding operations are operationally and regulatorily sensitive, meaning issues at external suppliers can translate relatively quickly into production, volumes and quality processes. Supply security and quality execution therefore remain important components of the US valuation case.

A successful Q4 normalisation would do more than restore volume. It would also provide evidence that Fagron has rebuilt sufficient stability around a critical part of the operating chain.

The real Q3 message is de-risking rather than a beat

Analyst consensus ahead of the release was €281.5 million of revenue. Fagron reported €281.3 million, effectively exactly in line.

The regional consensus tells a more useful story. EMEA was expected at €110.5 million and delivered €113.1 million. Latin America was expected at €65.3 million and delivered €69.0 million. North America-Pacific was expected at €105.7 million and delivered €99.2 million.

Weakness therefore occurred precisely where investors already knew an operating problem existed, while the other two regions outperformed expectations. That is more valuable to us than an outcome where all three regions had simply landed close to consensus.

The analysis therefore narrows to one question: is North American weakness temporary? If the answer proves to be yes, 2027 gains an earnings uplift on top of EMEA and Latin America businesses that are already performing well.

Guidance is solid but has not been raised

Fagron continues to expect €1.125–1.150 billion of 2026 revenue and a 19.5–20.0% adjusted EBITDA margin. Existing market expectations sit around the midpoint of that range, meaning guidance and consensus remain closely aligned.

This is an important caveat. The trading update does not automatically force analysts to make large increases to FY26 estimates. Fagron has not raised the range and the market was already positioned near the midpoint.

The positive equity case should therefore not depend on an immediate 2026 earnings upgrade. The shares can instead move higher if investors increasingly value the earnings potential emerging in 2027.

Q4 still needs to be strong

With €833.7 million of nine-month revenue, Fagron needs approximately €291 million to €316 million of Q4 revenue to achieve the full-year guidance range. That implies another strong quarter.

That requirement is achievable. Acquisitions now make a larger contribution, IV bag supply has stabilised and Compounding Services volumes should recover progressively. It nevertheless means the confirmed full-year outlook still carries execution risk.

Q4 should therefore not be treated as a formality. Conversion in North America-Pacific will be the first practical test of the recovery thesis management is now presenting.

2027 has three separate growth bridges

The main reason we are more constructive on the shares lies in three factors that can work simultaneously in 2027. The first is the recovery of North American Compounding Services. If the IV bag disruption disappears, both revenue comparisons and utilisation of existing production assets should improve.

The second is full-year contribution from acquisitions. All previously announced transactions have now closed and management says integration is on track. This removes part of the execution uncertainty around closing and shifts the debate toward synergies, margins and return on invested capital.

The third bridge is capacity. Fagron is investing in Wichita and Las Vegas and points to more than $500 million of cumulative capacity being added over 2025–2028. The economic value will ultimately depend on utilisation, but additional capacity combined with recovering US demand can create significant operating leverage.

Wichita may become more important than one quarter of revenue growth

The Wichita expansion deserves particular attention because it is intended to support part of Fagron's future US sterile compounding growth. Creating capacity only generates value, however, if that capacity can be filled with attractive volumes.

Current temporary weakness in Compounding Services makes that point particularly relevant. If volumes recover as new capacity becomes available, Fagron can add revenue without requiring a matching percentage increase in central overhead, creating potential operating leverage.

If demand recovers more slowly, the same expansion could temporarily produce underutilised assets and lower returns on invested capital. The US investment case therefore depends less on the physical expansion itself than on how quickly Fagron can fill the new capacity.

This is one of the most important variables to monitor into 2027.

Acquisitions add growth but raise the hurdle for capital allocation

The 23.2% reported revenue growth demonstrates how much scale Fagron has added through M&A. The lower organic group growth means the company now has to demonstrate that acquisitions are buying value rather than simply revenue.

Investors should therefore pay closer attention to margins, cash conversion and return on invested capital from 2027 onward. Fully integrated acquisitions should ultimately produce synergies and operating scale rather than merely a larger revenue base.

The balance sheet remains manageable, but the combination of acquisitions and expansion makes capital discipline increasingly important. Management therefore needs to demonstrate not merely growth, but sufficient free cash flow and returns to justify the larger invested-capital base.

Capex requires a more nuanced reading than the 3.5% headline

Fagron expects recurring capex of approximately 3.5% of revenue, but that figure excludes one-off expansion projects. This distinction matters for free cash flow.

An investor using 3.5% of revenue as total investment requirements could underestimate actual cash outflows during the current expansion phase. EBITDA growth and free-cash-flow growth may therefore diverge temporarily during the build-out.

That is not necessarily negative if the additional investment produces attractive future returns, but cash conversion needs to be modelled separately. The correct question is not whether capex is temporarily elevated, but how much incremental EBITDA and cash flow the expansion can ultimately produce.

Maintaining the margin range is more meaningful than it first appears

Fagron is maintaining its adjusted EBITDA margin outlook of 19.5–20.0% despite temporary pressure on North American Compounding Services. This indicates that performance elsewhere, acquisition contributions and operating management are sufficient to absorb the regional disruption at group level.

That can create interesting operating leverage in 2027. If Compounding Services recovers while the other regions maintain momentum, earnings growth can be supported not only by additional revenue but also by better US capacity utilisation.

This is not yet guidance for higher margins and should not be modelled as such. It is, however, a concrete potential upside driver that becomes increasingly relevant as the US volume base normalises.

The 2027 valuation framework is becoming more credible

The upside case does not primarily depend on applying a higher multiple to unchanged 2026 earnings. The more important point is that the operating conditions for a higher 2027 earnings base are becoming more concrete. The US supply disruption appears to be stabilising, acquisitions have closed and major capacity projects are moving gradually toward productive use.

That can change the valuation debate from one centred primarily on acquisition-led growth to one where organic recovery, M&A and utilisation contribute simultaneously. If this begins to materialise, both earnings estimates and the valuation multiple can receive support.

This is where further share-price upside can emerge. Q3 does not need to beat consensus materially if it increases the probability that 2027 will be financially stronger than 2026.

The main downside scenario sits in North America

The bull case therefore does not depend primarily on EMEA or Latin America, where the data already provide solid evidence of underlying commercial strength. The key risk is that North American Compounding Services recover more slowly than management expects after IV bag supply stabilises.

If that happens, it would imply that not all of the decline was caused by the supply problem and that weaker underlying demand, lost customers or other operational factors may be present. That would directly weaken the 2027 growth bridge.

A second risk is that new capacity becomes available faster than Fagron can build volumes. Operating leverage works in both directions: a well-utilised facility increases returns, while underutilised capacity dilutes economics.

The development of North America-Pacific volumes through Q4 and early 2027 is therefore likely to remain the most important marginal driver for the shares.

What we want to see next

The first confirmation needs to come from volume recovery in North America-Pacific Compounding Services. Management does not need to return immediately to exceptional growth, but the current double-digit organic decline should visibly improve once IV bag supply is no longer the bottleneck.

We also want to see strong Brands & Essentials momentum in North America continue. This matters because those businesses demonstrate that the broader US commercial franchise remains healthy outside Compounding Services.

For acquisitions, attention now shifts from closing to execution. Revenue contribution alone becomes less relevant; the market needs evidence of synergies, margin discipline and cash generation. Finally, 2027 capacity utilisation becomes increasingly important. Wichita and Las Vegas need to deliver profitable incremental revenue rather than merely a larger asset base.

Conclusion

Fagron delivered a strong Q3 update in which the quality of the mix and the increasingly visible 2027 earnings bridge matter more than the headline 23.2% growth rate. EMEA and Latin America remain healthy, the US weakness is concentrated in a temporary Compounding Services issue, and acquisitions plus additional capacity can contribute fully next year. Guidance has not been raised and the North American recovery still needs to be demonstrated, but if that recovery materialises we see sufficient operating leverage to support further upside in the shares.
